Balance sheet, liquidity and capital allocation

  • Cash, cash equivalents and marketable securities totaled $2,544.4 million at year-end, including $1,853.0 million of cash and equivalents. Net accounts receivable was $423.7 million, down from $495.1 million.
  • Deferred revenue totaled $900.6 million, including $789.3 million of deferred subscription revenue, primarily maintenance contracts recognized over time.
  • Senior notes had $750 million principal outstanding: $400 million at 1.95% due 2017 and $350 million at 3.6% due 2022. The $400 million revolving credit facility had no borrowings outstanding.
  • Operating cash flow was $563.5 million; investing activities used $194.0 million and financing activities used $126.5 million. Autodesk repurchased 10.5 million shares for $423.8 million. It paid no dividends and said it did not expect to do so for the foreseeable future.
  • Approximately 75% of cash, cash equivalents and marketable securities were held offshore. Management said existing liquidity, expected operating cash flows and available credit should cover working-capital and operating needs for at least 12 months.

Changes, outlook and notable items

  • The business-model transition and flexible license offerings deferred approximately $30 million of FY2014 revenue, particularly affecting license revenue in the Americas and AEC. Management expects more ratable, recurring revenue over time, but warned that the transition may reduce upfront perpetual-license revenue and near-term margins and EPS.
  • FY2015 guidance: revenue growth of approximately 3%–5% and net billings growth of approximately 5%–8% versus FY2014; expected net additions of 150,000–200,000 subscriptions. Expected FY2015 GAAP operating margin was 5%–8%, versus non-GAAP margin of 14%–16%. First-quarter FY2015 revenue guidance was $560–$575 million; GAAP diluted EPS $0.01–$0.04 and non-GAAP diluted EPS $0.19–$0.22.
  • Management attributed revenue pressure to lower flagship sales, foreign-exchange effects, and a strategic move to provide educational licenses at little or no cost in selected regions. On a constant-currency basis, FY2014 revenue would have increased 1% year over year.
  • Cost of subscription revenue rose 32%, primarily due to cloud-services costs. FY2014 restructuring charges were $12.8 million; the plan covered about 85 positions and four facilities. A prior-year plan covered about 500 positions and eight facilities.
  • Autodesk completed the $284.6 million Delcam acquisition on February 6, 2014, after year-end. The company expected the acquisition to reduce FY2015 operating margin. Graitec was acquired during FY2014 for $87.0 million.
  • Key risks include execution of the cloud and subscription transition, competition and technology change, dependence on international markets and indirect channels, reliance on major products and maintenance renewals, foreign-exchange exposure, cybersecurity and privacy, acquisition integration, tax uncertainty, and restructuring execution. Tech Data accounted for 24% of FY2014 revenue. The company reported that pending legal matters were not expected to have a material adverse effect, but said outcomes could be unpredictable.

Most important facts for investors to verify

  • Whether subscription and suite growth can offset declines in standalone flagship licenses, and how billings, deferred revenue and recognized revenue develop through the transition.
  • Whether FY2015 revenue, billings, subscription additions and operating-margin guidance is achieved, including the impact of Delcam and cloud-service costs.
  • The sustainability of operating cash flow and the availability of offshore cash for U.S. needs, considering potential repatriation taxes and $750 million of note principal.
  • Customer and reseller concentration, maintenance renewal trends, and continued exposure to Tech Data and international markets.
  • Acquisition integration, restructuring costs, tax positions and legal contingencies; the filing does not provide a clear estimate for potential losses from pending legal matters.
