International revenue rose 165.3% to $84.4 million, or 11.8% of sales.

Fourth-quarter revenue was $175.3 million, versus $192.2 million in Q3 2011 and $165.3 million in Q4 2010. Q4 operating income was $41.1 million and net income was $31.2 million; diluted EPS was $0.48.

Total investments, including long-term investments, were $491.4 million. The company reported no off-balance-sheet financing arrangements. Capital expenditures were $11.9 million. Dividends paid were $23.1 million and share repurchases cost $35.6 million.

Material changes versus prior periods

  • Revenue, operating income, net income and diluted EPS increased from 2010; core product sales continued to outgrow the business overall.
  • Gross margin declined from 59.3% to 57.8%, primarily reflecting higher services-related revenue, including cabinet shipments, and customer pricing associated with market-share expansion. Higher production volumes supported cost absorption and manufacturing efficiencies.
  • SG&A increased 8.9% to $124.9 million and R&D increased 11.1% to $100.3 million, but both declined as a percentage of sales. R&D spending was 14.0% of revenue.
  • Inventory increased 18.2% to $87.8 million; inventory turnover declined from 3.8 to 3.5 turns. The company cited higher demand, installation activity and component supply constraints.
  • ADTRAN acquired Bluesocket for $23.7 million in cash in August 2011. In December it announced a planned acquisition of Nokia Siemens Networks’ fixed-line Broadband Access business; the filing describes the transaction as planned, not completed.

Outlook, risks and unusual items

  • No specific revenue, earnings or margin guidance is provided. Management expects continued R&D investment and describes results as subject to significant period-to-period variability; backlog is limited and not considered a meaningful indicator of future sales.
  • Key risks include reliance on major service-provider customers and lengthy product-approval cycles, intense competition and price pressure, technology transitions and legacy-product declines, component shortages and dependence on two manufacturing subcontractors, and inventory obsolescence. AT&T and CenturyLink represented approximately 25% and 10% of 2011 revenue, respectively.
  • International sales growth and the planned NSN acquisition bring added integration, execution, credit-collection, regulatory, currency and geopolitical risks. Completion and expected benefits of the NSN transaction were uncertain at filing.
  • Investment gains were material: net realized investment gain was $12.5 million in 2011, compared with $11.0 million in 2010. A single marketable equity security contributed $16.9 million of year-end unrealized gains; adverse market conditions could lead to impairment. A fourth-quarter 2011 impairment charge of $36 thousand was recorded.
  • Other items to monitor include the $3.8 million of acquisition-related expenses, amortization and adjustments reported for Bluesocket and the planned NSN transaction; a $4.1 million warranty liability; and $69.6 million in purchase obligations, largely payable in 2012. Management and the auditor concluded internal control over financial reporting was effective; the auditor issued an unqualified opinion.

Important facts for investors to verify

  • Confirm the registrant and ticker/entity identity: this source is ADTRAN, Inc.’s 2011 Form 10-K, despite the metadata naming ADTRAN Holdings, Inc.
  • Check whether and when the planned NSN Broadband Access acquisition closed, its final consideration, integration costs and realized results.
  • Assess whether core-product growth can offset continued HDSL and other legacy-product declines, and whether margins recover from the 2011 decrease.
  • Review customer concentration, order visibility, component availability, inventory growth and the dependence on two subcontractors.
  • Evaluate investment-portfolio exposure, especially the concentrated unrealized gain in one equity security, and distinguish recurring operating earnings from realized investment gains.
  • Confirm liquidity available after restricted collateral, dividends, repurchases, acquisition spending and contractual obligations.
