AEHR TEST SYSTEMS annual report, FY2024

Aehr Test Systems — FY2024 Form 10-K

Reporting period: Fiscal year ended May 31, 2024; this is an annual filing, not a standalone fourth-quarter report. Amounts below are in U.S. dollars.

Business context

Aehr Test supplies semiconductor test, burn-in and stabilization equipment, principally its FOX wafer-level systems and related WaferPak and DiePak products. Management highlights demand opportunities in silicon carbide and other power semiconductors, electric vehicles, silicon photonics, memory and AI processors. Full-wafer products and services generated about 98% of FY2024 revenue.

Key financial results

  • Revenue rose 1.9%. Contactor revenue increased $15.7 million to $37.6 million, while systems revenue fell $14.7 million to $24.2 million. Services revenue was $4.5 million.
  • Gross margin declined 1.3 percentage points, which management attributed mainly to higher inventory reserves and costs from design changes. Operating expenses increased 16% to $22.5 million, including higher R&D and SG&A.
  • FY2024 net income included a $20.7 million income tax benefit, primarily from releasing a $21.9 million valuation allowance on deferred tax assets. The benefit materially boosts reported earnings; pretax income was $12.5 million.
  • At May 31, 2024, cash and cash equivalents were $49.2 million, versus $30.1 million a year earlier; short-term investments were zero, versus $17.9 million. Inventory rose to $37.5 million from $23.9 million. Total current liabilities were $10.5 million.
  • There was no outstanding borrowing reported; the revolving credit facility was terminated in January 2024. Operating lease liabilities totaled $6.2 million. Cash from investing activities was $17.3 million, principally reflecting investment maturities, not operating cash generation.

Material changes and outlook

  • Backlog fell to $7.3 million at May 31, 2024 from $24.5 million a year earlier. The company reported significant delays in expected customer orders and more rescheduling in FY2024’s second and third quarters; backlog may be cancelled or rescheduled.
  • Two customers represented approximately 67% and 17% of FY2024 revenue; the five largest accounted for 93%. Asia generated 87.7% of revenue, and about 95% of sales were for delivery outside the United States.
  • Management said existing cash and expected operating cash flows should cover operating activities, capital expenditures and other obligations for the next 12 months. The filing provides no quantified revenue or earnings guidance.
  • After year-end, Aehr agreed to acquire Incal Technology for $21 million—$14 million cash and $7 million in Aehr shares, subject to adjustments—with closing expected in FY2025’s first quarter.
  • The company changed its fiscal calendar beginning June 1, 2024, to a 52- or 53-week year ending on the Friday nearest May 31. FY2025 is expected to end May 30, 2025.

Risks, contingencies and other notable items

  • Customer concentration and order timing expose results to a few large, high-value purchases; cancellations, delays or customer acceptance issues could materially affect quarterly revenue.
  • Management flagged inventory obsolescence risk if anticipated demand does not materialize. Inventory valuation was the auditor’s critical audit matter, involving judgment about forecast demand.
  • Other key risks include semiconductor-market cyclicality, competition and pricing pressure, reliance on sole-source suppliers, international trade and geopolitical exposure, foreign-exchange movements, product reliability and cybersecurity threats.
  • No material legal proceedings were reported. The auditor issued an unqualified opinion on the financial statements. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor did not provide an opinion on internal controls.

Investor verification priorities

  • Assess the sustainability of earnings excluding the one-time deferred-tax valuation-allowance release.
  • Track backlog, order rescheduling, customer concentration and whether system revenue stabilizes after its FY2024 decline.
  • Review inventory growth, reserve assumptions and operating cash conversion against sales and customer deposits.
  • Verify the Incal acquisition’s closing, financing, integration costs and contribution to product diversification.
  • Monitor gross margins, competitive pricing, supplier availability and the company’s ability to diversify customers and end markets.
