Financial position and period changes

  • At March 31, 2023, working capital was approximately $41.8 million and total current assets were $87.662 million versus current liabilities of $45.849 million. The company reported total assets of $222.926 million and total liabilities of $75.542 million.
  • Debt included $5.709 million of short-term bank borrowings, $3.650 million of current long-term debt and $10.638 million of long-term debt, or approximately $20.0 million in total. Long-term debt maturities include $3.650 million through March 2024 and $10.638 million in 2024. The company said it was in compliance with its credit covenants.
  • Cash, cash equivalents and restricted cash increased by $7.1 million during the quarter. Investing activities provided $6.842 million, principally reflecting $8.722 million of cash acquired with Movingdots, offset by capital expenditures and capitalized software development. Financing activities used $1.374 million, including $1.329 million of debt repayments.
  • Product revenue fell as Powerfleet reduced low-margin contracts and product sales declined in Israel. Service revenue rose with growth in the installed base. Gross margin improvement reflected the exit from low-margin orders and lower materials costs as supply-chain pressures eased.
  • SG&A rose 12.6% to approximately $16.8 million, attributed to salaries, marketing and professional fees, including Movingdots acquisition costs. R&D expense declined 46.6% to approximately $1.7 million, principally because more software-development costs were capitalized.

Outlook, risks and unusual items

  • Management said available working capital, expected revenues and operating cash flows, and available borrowings were expected to fund capital requirements through at least May 10, 2024. The filing provides no specific revenue or earnings guidance.
  • Management cautioned that the company has not historically generated sufficient cash from operations alone to fund its business. It cited inflation, higher interest rates, currency volatility, supply-chain disruption and geopolitical uncertainty, and said it was pursuing discretionary expense and capital-spending reductions and borrowing under revolving facilities.
  • Movingdots was acquired for €1 plus a ten-year warrant to buy 800,000 common shares at $7 per share, valued at approximately $1.347 million. Provisional accounting recognized $8.581 million of identifiable net assets and a $7.234 million bargain-purchase gain. Purchase-price allocation remains subject to adjustment; acquisition-related costs of approximately $0.3 million were expensed. The seller funded Movingdots to have €8 million of cash at closing. The gain materially affects reported quarterly profit and is not a measure of recurring operating performance.
  • Series A preferred stock carries cumulative dividends of at least 7.5% annually, paid in shares or cash at the company’s election under specified terms. The quarter included $1.107 million of preferred dividends and $0.168 million of accretion; preferred stock also has conversion, redemption and consent rights.
  • Management disclosed three unremediated material weaknesses in internal controls: revenue standalone-selling-price estimates, capitalization of software costs, and the financial-statement close and review process. Planned remediation includes a new ERP system, external support, enhanced documentation and staff training. Management stated the weaknesses had not caused a restatement and that the reported statements fairly present the company’s financial position and results.
  • Contingencies include Brazilian tax claims, including an assessment totaling approximately $1.295 million and a separate claim reduced to $0.211 million after an administrative decision, plus Mexican tax assessments of $0.268 million and $0.476 million. Counsel assessed loss as not probable; no provision was recorded. Management said pending matters were not expected to have a material adverse effect.
  • Other risks include long and irregular customer deployment and sales cycles, customer concentration in deployment decisions, competition, intellectual-property protection, and the ability to integrate Movingdots and realize its anticipated benefits. No customers represented more than 10% of quarterly revenue or accounts receivable.

Important facts for investors to verify

  • How much of reported profit and operating cash flow is sustainable without the one-time Movingdots bargain-purchase gain, and how the acquisition performs after integration.
  • Whether service growth and improved gross margins continue while product sales are lower and SG&A remains elevated.
  • Progress toward positive operating cash generation, liquidity through May 2024, and renewal or availability of the Hapoalim revolving facilities, including their rate and covenant terms.
  • Remediation of the disclosed material weaknesses and any effects of the ERP implementation or Movingdots integration on reporting controls.
  • Final purchase-price allocation for Movingdots, the value and potential dilution from acquisition warrants, and the preferred stock’s dividend, conversion and redemption implications.
  • Updates on the Brazilian and Mexican tax matters, including any change in counsel’s assessment or the amount of potential exposure.
