Digital Turbine / Mandalay Digital Group, Inc. — FY2014 Form 10-K
Period and context: This is Mandalay Digital Group, Inc.’s annual report for the fiscal year ended March 31, 2014, not a standalone 2013 fourth-quarter report. The company operated its Digital Turbine mobile-content and software business through subsidiaries, including DT USA, DT EMEA and DT APAC. Twistbox was sold on February 13, 2014 and is presented as discontinued operations. Unless stated otherwise, amounts below are U.S. dollars.

Revenue rose 533%, primarily following the acquisitions of Logia/DT EMEA and MIA/DT APAC; DT APAC contributed $19.973 million from its acquisition date. The prior-year comparison is not like-for-like because of acquisitions and discontinued-operation presentation. Gross margin fell as the revenue mix shifted toward content and billing, which carried substantial license fees. Operating expenses increased to $23.370 million from $13.189 million, including higher product development, stock compensation and acquisition-related professional costs.
Financial position and liquidity
- At March 31, 2014, cash and cash equivalents were $21.805 million, plus $0.200 million of restricted cash. Total current assets were $27.481 million and current liabilities $11.906 million; reported working capital was $15.6 million, versus a $5.7 million deficit a year earlier.
- Total assets were $45.095 million and total liabilities $12.144 million. The balance sheet reported no short- or long-term debt at year-end; the company repaid $3.657 million of debt during the year. A $0.238 million long-term contingent liability remained recorded.
- Financing provided $29.640 million net cash, including $33.297 million from share issuance, partly offset by debt repayment. The company said existing cash would fund planned operations for at least 12 months, but it continued to incur operating losses and cash burn.
- Stockholders’ equity was $32.951 million, up from $0.737 million. Common shares outstanding increased materially, including 10.25 million shares issued in public offerings and substantial share issuance in connection with debt conversion and acquisitions.
Material developments, outlook and risks
- The company’s products included DT Ignite (application management and installation), DT IQ (discovery and user experience), DT Content (storefront and content management) and DT Pay (operator billing integration). Management’s strategy emphasized carrier/OEM deployments, advertising and content monetization, international expansion and selective acquisitions.
- Management expected operating expenses to rise in absolute dollars if revenue continued to grow, but anticipated expenses would decline as a percentage of revenue. No specific revenue, earnings or cash-flow guidance was provided. Profitability remained dependent on growth in deployments, content and CPI advertising revenue, and controlling operating costs.
- DT Ignite and DT IQ were Android-compatible at the time; a shift in operating systems could require additional development. Revenue and receivables were concentrated: three customers represented 45.8%, 22.2% and 10.5% of FY2014 revenue, and two customers represented 49.1% and 13.4% of year-end gross receivables.
- In the fourth quarter, Twistbox was sold for $1 plus potential earn-out payments; the buyer assumed $2.3 million of net liabilities. The company recorded a $1.502 million loss on disposal and retained certain liabilities and indemnification obligations.
- The company disclosed a material weakness in internal control over financial reporting, citing inadequate accounting systems and technical resources, insufficient personnel, and manual procedures across multiple accounting platforms. Disclosure controls and internal controls were deemed ineffective as of March 31, 2014. Planned remediation included hiring an experienced CFO, moving to a single global ERP system and reallocating accounting responsibilities, with implementation expected during FY2015. The financial statements received an unqualified audit opinion; the auditor did not opine on internal controls.
- A putative Israeli class action named other parties and included a third-party notice alleging Logia’s involvement; the company said liability was remote and accrued no loss. A separate Sirocco dispute was settled for $35,000. Foreign exchange, carrier contract renewals and termination rights, content licenses, regulatory changes, acquisition integration, and potential dilution were also identified as risks.
Investor verification priorities
- Check subsequent results against management’s 12-month liquidity assertion, given $7.807 million of annual operating cash use and continued losses.
- Assess the durability and profitability of acquired DT APAC revenue, the substantial decline in gross margin, and reliance on a small number of customers and carriers.
- Review remediation progress for the material weakness and whether the consolidated close, tax accounting and reporting processes improved.
- Verify the final accounting and payment terms for the Logia contingent consideration settlement and any remaining Twistbox-related liabilities or earn-out amounts.
- Evaluate dilution from equity financing, debt conversions, warrants and outstanding equity awards; confirm current share count and fully diluted exposure.
