Systems sales were €4.571 billion, up 7.9%; service and field-option sales were €2.224 billion, up 8.5%. ASML sold 157 systems versus 169 in 2015, while average selling price per system rose to €29.1 million from €25.1 million, reflecting a richer product mix. Higher EUV sales contributed to revenue growth but weighed on gross margin because EUV systems carried below-average margins.
Liquidity, debt and capital allocation
- Year-end cash and cash equivalents were €2.907 billion and short-term investments were €1.150 billion. Working capital was €5.277 billion.
- Long-term debt, including its current portion, was €3.319 billion, up from €1.130 billion in 2015, principally following issuance of €2.250 billion in senior notes during 2016. The €700 million revolving credit facility was undrawn and extended to 2021.
- Operating cash flow less cash purchases of property, plant and equipment and intangibles produced reported free cash flow of €1.341 billion. Cash flow used in investing activities was €3.188 billion, including €2.641 billion for acquisitions net of cash acquired.
- ASML repurchased 4.8 million shares for €400 million and paused its 2016–2017 buyback program following the HMI acquisition and planned Zeiss investment. Management proposed a €1.20-per-share 2016 dividend, subject to shareholder approval.
Material changes and unusual items
- ASML acquired 100% of Hermes Microvision (HMI) on November 22, 2016, for total consideration of approximately €2.981 billion. The purchase-price allocation included €2.115 billion of goodwill and €606.6 million of identifiable intangible assets. HMI contributed €25.7 million of sales and a €5.4 million net loss after acquisition, including purchase-accounting charges.
- ASML agreed to acquire a 24.9% stake in Carl Zeiss SMT for €1.0 billion, expected to close in Q2 2017 subject to conditions and regulatory approval. It also committed €760 million over six years for High-NA-related R&D, capital expenditure and supply-chain investment; €748 million remained committed at year-end.
- Interest and other, net improved from a €16.5 million expense to €33.6 million of income, including a €55.2 million foreign-currency revaluation gain associated with the HMI acquisition.
- The effective tax rate increased to 13.0% from 10.4%, primarily reflecting tax-law changes. The filing records €8.4 million of estimated legal losses in 2016.
- Systems backlog rose to 83 systems valued at €3.961 billion, from 79 systems valued at €3.184 billion. EUV backlog was 18 systems worth €2.0 billion. Backlog is subject to customer rescheduling or cancellation.
Outlook, management commentary and risks
- For Q1 2017, management expected net sales of approximately €1.8 billion and gross margin of about 47%, including an estimated one-percentage-point negative impact from HMI purchase-price allocation. Expected R&D was about €320 million, SG&A about €95 million, other income about €23 million, and the annualized tax rate 13%–14%.
- Management targeted an annual revenue opportunity of around €11 billion and EPS above €9 by 2020 for ASML and HMI combined. These are targets, not guarantees.
- ASML said EUV met 2016 productivity and availability targets: a customer-site system achieved over 1,500 wafers per day on a three-day average, while field availability exceeded 80% over four weeks regularly; consistency across systems and sites still required improvement. The first NXE:3400B shipment was planned for Q1 2017, with revenue expected in Q3 2017.
- Key risks include semiconductor-industry cyclicality; dependence on a small number of major customers and on Carl Zeiss SMT for critical optics; EUV and High-NA development, adoption and performance risks; customer order timing and possible backlog cancellations; foreign-exchange exposure; geographic concentration in Asia; and execution and integration risks from HMI. Patent disputes, including potential litigation with Nikon after certain cross-license protections expired, and tax uncertainties are also disclosed.
- Contractual obligations totaled €6.812 billion, including €3.757 billion of long-term debt obligations with interest, €2.203 billion of purchase obligations and the €748 million remaining Zeiss commitment. Management stated that available liquidity was sufficient for expected 2017 requirements.
Key investor verification points
- Track EUV shipments, customer acceptance and volume-manufacturing readiness against the stated productivity, availability and revenue-recognition milestones.
- Assess whether HMI integration and the Zeiss/High-NA investment deliver the expected product, revenue and margin benefits; verify Zeiss transaction completion and funding commitments.
- Monitor gross margin, cash conversion and debt following the EUV mix shift, acquisition spending and new bond issuance.
- Review customer concentration, regional exposure and the resilience of the single-source Zeiss optics supply chain.
- Confirm approval and payment of the proposed dividend, the status of the paused share-buyback plan, and the resolution of disclosed legal and tax uncertainties.
The financial statements received an unqualified audit opinion. Management and the auditor reported effective internal control over financial reporting as of year-end, but HMI was excluded from the assessment because it was acquired late in 2016.
