Net-centric revenue rose 7.1% to $184.7 million, despite a 25.5% decline in average price per megabit. On-net connections increased 3.7% and off-net connections increased 2.7% year over year. On-net ARPU was $460; off-net ARPU was $1,045.
Quarterly revenue rose from $140.3 million in Q4 2019 to $143.9 million in Q4 2020. Q4 2020 operating income was $27.4 million, compared with $28.0 million a year earlier. The company reported a Q4 net loss of $6.6 million, versus net income of $7.5 million in Q4 2019; Q4 2020 included a $19.2 million unrealized foreign-exchange loss on the 2024 Euro notes.
Debt and liquidity: Year-end cash was $371.3 million. Total indebtedness at par was approximately $1.1 billion, including $445.0 million of 5.375% secured notes due March 2022, €350.0 million of 4.375% unsecured notes due June 2024, $219.1 million of finance-lease obligations and $7.7 million under an installment agreement. The company also reported $122.5 million of operating-lease liabilities. It redeemed $189.2 million of 2021 notes in June 2020, funded in part by issuing an additional €215.0 million of 2024 notes.
Dividends paid were $129.4 million in 2020, up from $112.6 million in 2019. The board approved a Q1 2021 dividend of $0.755 per share, estimated at $34.6 million. The debt indentures restrict certain distributions; the company’s leverage ratio was above 4.25 at year-end, with $94.0 million permitted for investment payments, including dividends and share repurchases.
Material changes versus the prior year
- Revenue growth continued, led by on-net and net-centric services, but corporate growth was slowed by pandemic-related caution, office vacancies and fewer new-tenant sales opportunities.
- Operating income increased, while net income fell sharply. The main unusual driver was a $37.0 million unrealized foreign-exchange loss on Euro-denominated notes, compared with a $2.3 million gain in 2019. Interest expense also rose 8.8% to $62.5 million.
- SG&A increased 7.9% to $158.5 million, partly reflecting higher staffing and sales investment and $22.3 million of equity-based compensation, versus $17.5 million in 2019. Network operations expense was nearly flat.
- Cash from operations declined, capital spending increased, and financing cash flow turned to a $116.0 million use, reflecting dividends, debt redemption and finance-lease payments. The company issued €215.0 million of 2024 notes and redeemed the 2021 notes.
- Cogent launched Global Peer Connect in late 2020. Its 1 Gbps service surpassed 100 Mbps as its most popular product by revenue and connections.
Outlook, commentary and risks
Management said cash on hand and expected operating cash flow should cover working capital, capital expenditures, debt service and dividends for the next 12 months if the business plan is executed. It intends to continue its current dividend policy but will monitor capital spending and cash needs. No quantitative revenue or earnings guidance was provided.
Management expects average net-centric price per megabit to continue declining at rates similar to 2020. It cautioned that persistent remote work could reduce corporate customer upgrades, new connections and tenant opportunities. The company reported no material change in customer payment profiles or significant increase in turnover to date, but warned that economic disruption could increase bad debt, churn and pressure on growth, cash flow and profitability.
Key risks include competition and continuing price deflation; reliance on settlement-free peering, leased fiber and third-party last-mile providers; reliance on Cisco for most network equipment; cyberattacks and system failures; international currency and regulatory exposure; and substantial debt and refinancing requirements. The $445.0 million secured notes mature in March 2022. The company has not hedged its Euro exposure; a 1% exchange-rate change would affect the reported value of the 2024 notes by approximately $4.3 million. Contingencies include a Spanish fiber-lease arbitration seeking approximately $9.0 million, already accrued, and up to $3.3 million of possible additional loss related to disputed leased-circuit obligations.
Ernst & Young issued unqualified opinions on the financial statements and internal control over financial reporting. The auditor identified initial measurement of indefeasible-right-of-use lease assets and liabilities, particularly lease-term judgments, as a critical audit matter.
Important facts for investors to verify
- Whether corporate customer additions and upgrades recover as pandemic-related office and remote-work patterns evolve.
- Whether net-centric volume growth can offset continuing price-per-megabit declines.
- Funding and refinancing plans for the $445.0 million secured notes due March 2022, and the effect of leverage-related limits on dividends and repurchases.
- Cash-flow capacity after dividends, capital expenditures, interest and finance-lease payments; operating cash flow was $140.3 million versus $129.4 million of dividends paid in 2020.
- Euro exchange-rate exposure and the sensitivity of reported earnings and debt balances to currency movements.
- Developments in the Spanish arbitration, disputed circuit costs, fiber-lease renewals and other disclosed contingencies.
