Financial position and material changes

  • At March 31, cash and cash equivalents were $2.92 million, restricted cash was $1.17 million, and working capital was $10.30 million, compared with $1.95 million at September 30, 2023.
  • Total debt was $22.47 million, including a $4.02 million revolving line balance; the balance sheet classified $0.91 million of long-term debt as current and reported $21.55 million as long-term debt. The $5 million Pathward revolving facility had $0.98 million of stated availability. The company reported compliance with its covenants.
  • Trade receivables rose 25% to $11.54 million from September 30, 2023, primarily reflecting increased Industrial Services sales. The increase contributed to operating cash use.
  • Security revenue fell 18% in the quarter to $8.08 million, which management attributed to delayed projects; six-month Security revenue rose 2% to $17.25 million. Industrial Services revenue increased 47% in the quarter to $9.07 million and 51% for six months to $16.79 million, reflecting demand and Heisey’s contribution.
  • Quarterly gross margin declined to 40% from 46%. Management cited lower Security revenue and lower Industrial Services margins on Heisey-related projects. For six months, Industrial Services margin was 32% versus 35%, while Security margin was 50% in both periods.

Outlook, risks and unusual items

  • Going concern: Management disclosed substantial doubt about the company’s ability to continue as a going concern, citing recurring losses and debt obligations. It said available cash and credit capacity at March 31 were not adequate for short- or long-term needs and that additional capital or debt restructuring/refinancing may be necessary. Management believes its plans could support operations for at least twelve months, but says there is no guarantee; the financial statements include no adjustments for this uncertainty.
  • Subsequent financing and debt agreement: The May 3, 2024 public offering generated approximately $10.04 million gross proceeds before fees and expenses. It included common units and pre-funded units with warrants, creating potentially significant dilution. Under a separate April 30 Streeterville standstill, the lender agreed not to redeem two notes for one year and extended their maturities; Cemtrex agreed to pay the greater of $4 million or 50% of net proceeds from stock sales. Cemtrex reported paying $4.59 million on May 6.
  • Preferred stock and listing: Series 1 Preferred Stock was delisted from Nasdaq on January 22, 2024 and quoted on OTC Markets as CETXP. It carries a 10% annual dividend based on a $10 preference amount, payable semiannually. Preferred dividends were paid in shares during the period and again after quarter-end.
  • Expenses and operations: Quarterly G&A included $360,000 of non-recurring legal expenses. Six-month G&A also included approximately $680,000 of severance and bonus payments. R&D expense declined 48% for six months as spending on next-generation security software fell. Management says it implemented price increases and cost-saving measures in response to inflation.
  • Other exposures: Cemtrex reported related-party receivables, including $0.70 million of royalties receivable from CXR, Inc.; the parties agreed to structured payments with full payment due by December 31, 2024. A $0.76 million related-party note receivable from Ducon Technologies matures July 31, 2024. The filing reports no legal proceedings expected to have a material adverse effect.
  • Management plans: Long-term objectives include growing sales and marketing, developing partnerships and pursuing complementary acquisitions. The filing provides no quantified revenue, earnings or cash-flow guidance.

Key facts investors should verify

  • Whether the offering proceeds, the Streeterville payment and the remaining debt schedule are sufficient to address liquidity needs, and how the going-concern assessment changes.
  • The number of common shares and warrants outstanding after the offering, potential warrant exercise proceeds, and the resulting dilution. The filing reports 10,652,287 common shares outstanding as of May 10, 2024.
  • Whether delayed Security projects resume, and whether Heisey-related Industrial Services margins improve.
  • Collection timing and recoverability of customer and related-party receivables, including CXR royalties and the Ducon note.
