Cognex Corporation — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024; compared with the three months ended April 2, 2023. Unaudited results. Cognex provides machine-vision products and related services for manufacturing and distribution markets.
Financial performance
- Revenue: $210.8 million, up 5% year over year. Moritex contributed just under 8% of revenue; a strategic logistics project also supported growth, partly offset by softer factory-automation spending.
- Gross margin: $141.9 million, down 1%; gross margin rate fell to 67% from 71%. Management cited less favorable mix, Moritex-related charges, and lower-margin logistics work.
- Operating results: Operating expenses rose 5% to $127.7 million; operating income fell 36% to $14.2 million, with operating margin declining to about 7% from 11%.
- Net income: $12.0 million, down 53%; diluted EPS was $0.07 versus $0.15. The effective tax rate was 32% versus 2%, including $3.1 million of net discrete tax expense in 2024 versus a $3.6 million discrete tax benefit in 2023.
- Cash flow: Operating cash flow was $13.6 million versus $27.6 million. Investing activities used $49.0 million, including net purchases of investments; financing activities used $25.1 million, including $12.9 million of dividends and $9.3 million of share repurchases.
- Liquidity and debt: Cash and investments totaled $556.6 million at quarter-end, down from $576.3 million at December 31, 2023. Cognex reported no long-term debt. Cash and cash equivalents were $138.9 million; current liabilities were $188.1 million.

Business trends and material changes
- Revenue increased in the Americas by 3% and Other Asia by 64%, but declined 13% in Europe and 9% in Greater China. Other Asia growth mainly reflected Moritex and higher semiconductor and logistics revenue.
- Management cited ongoing softness in factory automation, particularly automotive and consumer electronics, delayed spending by electric-vehicle battery manufacturers, and a challenging Greater China environment. Logistics revenue was relatively flat excluding the strategic project.
- SG&A growth reflected continued investment in the Emerging Customer sales initiative and Moritex-related personnel, amortization, and integration costs. Cost management and lower stock-based compensation partly offset higher costs.
- Foreign-currency translation reduced other comprehensive income by $16.2 million in Q1 2024, contributing to a comprehensive loss of $3.8 million despite positive net income.
Outlook, risks, and contingencies
- The filing provides no specific quarterly or full-year revenue or earnings guidance. Management said existing cash and investments, together with operating cash flow, should cover operating, investing, and financing needs for the next 12 months.
- Management expects continued significant spending on the Emerging Customer sales initiative. It also reported $40.8 million in inventory purchase commitments, mostly payable within 12 months, and lease payment obligations of $116.4 million, including $13.8 million payable within 12 months.
- A remaining $33.0 million transition-tax balance is payable through 2025. Cognex said it did not expect Pillar Two taxes to have a significant impact on its 2024 financial statements.
- The investment portfolio had $9.5 million of net unrealized losses; management said it generally intends to hold affected securities to recovery at maturity, but a required sale could realize a loss. No credit-loss allowance was recorded on the debt securities.
- Routine legal claims are pending or threatened; the company believes they will not materially affect its financial position, liquidity, or results. Other identified risks include customer-demand weakness, competition and product obsolescence, acquisition integration, supply and distribution disruptions, cybersecurity, foreign exchange, and tax matters.
- Moritex, acquired in October 2023, represented approximately 5% of consolidated assets and 8% of revenue for the period. It was excluded from the scope of the internal-control effectiveness assessment under the SEC’s recently acquired business guidance; management otherwise concluded disclosure controls were effective.
Investor verification priorities
- Assess whether revenue growth is sustainable without Moritex and the completed logistics project, given factory-automation weakness.
- Track gross-margin recovery and the ongoing impact of Moritex purchase-accounting charges and product mix.
- Review the tax-rate comparison and discrete tax items when evaluating normalized earnings.
- Monitor operating cash conversion, inventory and receivables, investment-portfolio losses, and the funding of dividends and buybacks.
- Follow Emerging Customer initiative spending, Moritex integration, purchase commitments, and any updates to demand or liquidity commentary.
