Management attributed the revenue decline chiefly to reduced factory-automation spending, particularly in consumer electronics and semiconductors, and continued investment pauses by several large e-commerce logistics customers. Automotive revenue fell approximately 6%, logistics 21%, and consumer electronics 31%. Greater China revenue declined 28% and was 20% of total revenue.

Gross margin held at 72%: lower sales volume, mix, and Moritex acquisition accounting charges were offset by lower component costs, including reduced broker premiums. Operating expenses were nearly flat overall, but rose to 56% of revenue from 47%, contributing to operating deleverage. RD&E was $139.4 million (17% of revenue); SG&A was $339.1 million (40%).

Liquidity, capital allocation, and balance sheet

  • Cash, cash equivalents, and investments totaled $576.3 million at year-end, versus $854.3 million a year earlier. Cognex reported no long-term debt.
  • Operating cash flow was $112.9 million; capital expenditures were $23.1 million. Net cash used in financing was $125.6 million, including $79.8 million of share repurchases and $49.1 million of dividends.
  • The Moritex acquisition generated a $257.1 million net cash outflow. The company paid $295.1 million at closing, acquired $38.1 million of cash, and expected a further $1.0 million purchase-price adjustment payment in Q1 2024.
  • Year-end inventory was $162.3 million, up from $122.5 million. Inventory purchase commitments were $61.5 million, mostly payable within 12 months. Lease payment obligations totaled $105.7 million, including $13.6 million due within 12 months.
  • The quarterly dividend increased to $0.075 per share in Q4 2023; the board declared the same per-share dividend in February 2024. The March 2022 buyback authorization had $332.9 million remaining at year-end.

Material developments, outlook, and risks

  • Moritex acquisition: Cognex acquired the Japan-based optical-components provider in October 2023 for an enterprise value of approximately $270 million. 2023 included about six weeks of Moritex revenue, approximately $7 million. The provisional purchase allocation included $145.0 million of goodwill and $100.1 million of acquired customer relationships, technology, and trademarks; the allocation could change during the measurement period ending October 18, 2024.
  • Acquisition-related items: Cognex recorded $2.8 million of acquired-inventory fair-value expense in Q4 2023 and expected a further $1.2 million in Q1 2024. Q4 included approximately $0.6 million of acquired-technology amortization; FY SG&A included $5.8 million of Moritex transaction costs. The company also recorded an $8.5 million foreign-currency loss on settlement of a hedge of the yen purchase price.
  • Contract-manufacturer fire: The 2022 Indonesia plant fire produced a $20.8 million net loss in 2022. Cognex recorded $8.0 million of recoveries in 2023 and said it does not anticipate additional recoveries. Higher component costs related to replenishment continued to affect gross margin into the first half of 2023.
  • Management outlook: The filing provides no specific quantitative revenue or earnings guidance. Cognex expects to maintain RD&E investment and continue spending on its Emerging Customer sales initiative. Management identifies logistics as its highest-growth end market over the mid to long term, while noting large e-commerce customers had paused investment. It expects international sales to comprise a larger share of revenue in 2024, partly because of Moritex.
  • Key risks: Weaker global manufacturing and capital spending; competition and pricing pressure; successful product innovation and AI adoption; execution and integration of Moritex; China-related trade restrictions and geopolitical risk, including Taiwan-linked chip supply; dependence on limited suppliers and contract manufacturing; foreign-exchange exposure; and potential inventory obsolescence, impairment, or tax charges.
  • Other disclosures: Legal claims are described as ordinary-course matters not expected to materially affect financial position, liquidity, or results. The auditor issued unqualified opinions on the financial statements and internal controls. Moritex was excluded from the 2023 internal-control assessment because it was recently acquired; it represented approximately 5% of consolidated assets and 1% of revenue.

Important facts for investors to verify

  • Whether revenue and orders recover in consumer electronics, semiconductors, logistics, and Greater China, and whether the reported logistics pause persists.
  • Moritex’s post-acquisition revenue, margins, integration progress, purchase-price allocation, and realization of expected strategic benefits.
  • Whether operating cash flow improves as earnings recover and inventory levels and purchase commitments are managed.
  • The remaining Q1 2024 acquired-inventory fair-value expense and the effect of acquisition amortization on margins.
  • Exposure to currency movements, China trade controls, component availability, customer acceptance provisions, and any developments in pending legal or tax matters.
