Investment income rose to $5.2 million in Q2 and $10.1 million for the first half, primarily reflecting higher portfolio yields. The effective tax rates were 14% for Q2 and 12% for the first half, including tax benefits associated mainly with stock-option exercises.

Liquidity, balance sheet and capital returns

  • At June 30, 2019, cash and investments totaled $861.6 million, including $89.1 million of cash and cash equivalents. Total assets were $1.35 billion and total liabilities $158.3 million.
  • The company reported no long-term debt and said cash, investments and operating cash flow should be sufficient for the next 12 months. Operating lease liabilities were $18.0 million, including $5.8 million current.
  • First-half operating cash flow was $120.2 million. Investing cash outflow was $86.7 million, including net investment purchases; financing cash outflow was $52.4 million, including $61.7 million of share repurchases and $17.1 million of dividends. Cash ended the period at $89.1 million.
  • Under its $200 million repurchase authorization, Cognex had repurchased $70.3 million cumulatively, leaving $129.7 million available. The board declared a $0.05-per-share dividend payable August 30, 2019.

Changes and management commentary

  • Q2 revenue declined 6% reported and 3% on a constant-currency basis. First-half revenue fell 2% reported but increased 1% constant currency; foreign exchange reduced revenue growth by about three percentage points in both periods.
  • Logistics demand was strong, particularly in the Americas, but was offset by weaker consumer-electronics and automotive sales. Greater China revenue fell 13% in Q2 and 14% for the first half; Europe fell 16% and 6%, respectively.
  • Q2 operating expenses increased 3%, mainly from hiring to support future growth. First-half R&D spending was nearly flat, while SG&A rose 4%, with personnel costs partly offset by lower incentive compensation, foreign-exchange effects and absence of prior-year ERP project costs.
  • First-half operating cash flow improved year over year, helped by collections from a significant consumer-electronics customer and lower inventory; cash outflows included payment of bonuses accrued in 2018.

Outlook, risks and notable items

  • Management expected Q3 2019 revenue to decline from both Q2 2019’s $199 million and Q3 2018’s $232 million. The year-over-year decline was expected to reflect significantly lower smartphone-related consumer-electronics revenue and delayed or reduced factory-automation spending, partly offset by logistics growth. Management said the sequential decline could be more pronounced than the prior year amid uncertainty around global growth and trade.
  • Q3 gross margin was expected in the mid-70% range, slightly below Q2. Management targets annual R&D spending of 10%–15% of revenue and expects significant ongoing investment.
  • Risks cited include global economic and trade conditions, customer and industry concentration, demand forecasting and product transitions, foreign exchange, competition, supply-chain dependence, technology and cybersecurity risks, litigation, acquisition integration, investment impairment and tax exposures.
  • Income-tax reserves were $9.1 million, including interest and penalties. Possible statute expirations could reduce tax expense by approximately $1.25–$1.35 million over the next 12 months. Routine legal proceedings were not expected by management to materially affect results or liquidity.
  • Cognex adopted lease accounting standard ASC 842 on January 1, 2019, recognizing lease assets and liabilities. Management did not expect the accounting standards discussed in the filing to have a material financial-statement impact.

Investor facts to verify

  • Whether Q3 revenue and margin expectations were achieved, especially the projected smartphone-related decline and logistics offset.
  • Whether consumer-electronics, automotive and broader factory-automation demand stabilized, and whether currency effects continued to weigh on reported growth.
  • Whether operating cash flow remained strong and how share repurchases and dividends affected the substantial cash-and-investment balance.
  • Developments in tax reserves, possible reserve releases, and any material change in legal, trade or other disclosed risks.
