Business context and reporting period
Quarter ended April 3, 2016; comparisons are with the three months ended April 5, 2015. Cognex supplies machine-vision products, primarily to factory automation customers. Factory automation represented 94% of revenue and semiconductor/electronics capital equipment 6%. The Surface Inspection Systems Division (SISD) was sold in July 2015; its prior-year results are reported as discontinued operations.

Revenue declined 5% reported and 4% excluding foreign-exchange effects, primarily because of lower large orders in consumer electronics. Factory automation revenue fell 3% on a constant-currency basis; semiconductor/electronics capital equipment revenue fell 10%. Gross margin was unchanged. Research, development and engineering expense rose 21% to $20.6 million, while selling, general and administrative expense fell 4% to $38.3 million. Combined operating expenses increased about 3% to $58.9 million. Net income in Q1 2015 included $1.0 million from discontinued operations; there was none in Q1 2016.

At April 3, 2016, cash and cash equivalents were $79.9 million and short- and long-term investments totaled $569.5 million, for aggregate cash, cash equivalents and investments of $649.5 million. Current assets were $492.9 million and current liabilities $54.3 million. Total liabilities were $62.9 million; the company reported no debt. Operating cash flow increased year over year, with working-capital movements contributing to the comparison. Capital expenditures were $2.2 million. No shares were repurchased during the quarter; $83.9 million had been spent under the August 2015 repurchase authorization, and a separate $100 million authorization was to begin after that program. Management said existing liquidity and operating cash flow should fund operating, investing and financing needs for at least the next 12 months.
Outlook, risks and unusual items
- No specific revenue or earnings guidance was provided. Management expects significant future R&D investment; Q1 spending included work supporting anticipated customer orders in later quarters.
- Management attributed higher R&D costs to personnel additions and outsourced engineering, partly offset by lower foreign-currency-translated expenses. Lower SG&A reflected reduced legal fees after Microscan patent litigation was settled in Q2 2015.
- Q1 included a $0.3 million benefit from remeasurement of acquisition-related contingent consideration and a $0.5 million tax benefit from stock-option exercises. The effective tax rate was 15%, versus 16% a year earlier; excluding discrete tax events, management reported 18% for both periods.
- Risks identified include global economic conditions, reliance on large customers and consumer electronics or automotive markets, foreign-exchange movements, customer-demand forecasting, product quality and transitions, competition, suppliers, cybersecurity, litigation and tax exposures. Management said there were no material changes in market-risk exposures since year-end.
- Various routine legal matters remain pending, including matters related to the divested SISD for which Cognex retained certain liabilities. Management did not expect these matters to materially affect financial position, liquidity or results.
- Subsequent events: the board declared a $0.075-per-share dividend on May 2, payable June 17, 2016; shareholders approved an increase in authorized common shares from 140 million to 200 million on April 28.
Key facts for investors to verify
- Whether lower consumer-electronics orders persist and how large-order timing affects revenue comparisons.
- Whether increased R&D spending and prototype work convert into anticipated customer orders and revenue.
- Portfolio composition, liquidity and exposure to interest rates, credit and foreign-currency movements across the $649.5 million cash-and-investment balance.
- Future dividend and repurchase decisions, including the timing and remaining capacity of the authorized buyback programs.
- Potential outcomes of retained SISD liabilities and tax reserves; the filing notes possible tax-reserve releases of approximately $0.75–$0.85 million over the next 12 months.
