Performance changes and management commentary

  • Factory-automation revenue increased 9% in Q2 and 8% in the first half, reported; a weaker yen reduced reported growth. Management cited Asia and ID products as growth opportunities, while noting ID products carry relatively lower average selling prices.
  • Semiconductor and electronics capital-equipment revenue declined 28% in Q2 and 15% in the first half. Management described demand as cyclical and future order visibility as limited.
  • Surface-inspection revenue declined 5% in Q2 and 7% in the first half, reported. Management expected second-half revenue to grow versus the first half.
  • Service revenue increased 16% in Q2 and 7% in the first half. Gross margin was 76% overall; service margin improved, while six-month MVSD margin was affected by new-product introduction costs and higher warranty and inventory provisions.

Outlook, risks, contingencies, and unusual items

  • Management expected factory-automation revenue to grow in Q3 versus Q2 despite typical summer softness, and identified Asia and ID products as second-half growth opportunities. No comprehensive earnings or revenue guidance was provided.
  • Management expected significant R&D investment to continue and targeted R&D spending at 10%–15% of revenue.
  • Key disclosed risks include global economic conditions, semiconductor/electronics cyclicality, automotive exposure, foreign exchange, customer concentration, supply constraints, product quality and transitions, competition, intellectual-property protection, litigation, investment impairment, tax exposures, and information-security or system disruptions.
  • Patent disputes with MvTec and Microscan/Code remained ongoing. Cognex said it could not predict outcomes and that adverse resolutions could materially affect financial position, liquidity, results, or indemnification obligations.
  • Income-tax reserves were $6.255 million. The company said potential statute expirations could reduce tax expense by approximately $1.6–$1.8 million over the next 12 months; U.S. federal tax years 2010 and 2011 were under IRS audit, for which Cognex said it was adequately reserved.
  • Available-for-sale investments had $1.391 million in gross unrealized losses; Cognex reported no other-than-temporary impairment and said it did not intend, and was unlikely to be required, to sell the securities before maturity or recovery. A publicly traded equity holding had a $0.462 million unrealized loss recorded in earnings.
  • On July 29, 2013, the board declared a two-for-one stock split, payable as a stock dividend on September 16 to shareholders of record August 26.
