Video revenue increased 95% to approximately $9.0 million, microphone revenue increased 4% to $9.1 million, and audio conferencing revenue declined 6% to $10.9 million. Product mix shifted toward video: video represented 31% of revenue versus 18% in 2019; audio conferencing represented 38% versus 46%; and microphones represented 31% versus 35%.

By geography, U.S. revenue was $18.0 million, or 62% of total revenue, compared with $13.5 million, or 54%, in 2019. Revenue outside the U.S. was $11.1 million, or 38%, compared with $11.6 million, or 46%, in 2019.

Net cash used in investing activities was $5.5 million, including $6.7 million of capitalized patent-defense costs. Financing activities provided $6.3 million, including $4.8 million of net proceeds from the September 2020 equity offering and $1.5 million from a Paycheck Protection Program loan.

Debt, capital structure, and other balance-sheet items

  • Secured convertible notes had $3.0 million of principal outstanding, with a $2.4 million carrying amount at year-end. The notes mature December 17, 2023, bear variable interest, and are convertible initially at $2.11 per share.
  • The PPP loan totaled $1.5 million, bears interest at 1%, and may be partially or wholly forgiven if qualifying-use requirements are met. The filing states that the Company intended to apply for forgiveness; the ultimate forgiveness status is not provided in the filing text.
  • Total debt obligations, including the notes and PPP loan, were approximately $3.9 million of principal. Contractual obligations totaled approximately $10.2 million, including debt, operating leases, and purchase commitments.
  • Inventory declined to $15.1 million from $17.7 million, but $4.6 million remained classified as long-term inventory. Inventory write-downs were $1.5 million in 2020 versus $0.9 million in 2019.
  • Intangible assets were $19.2 million, including $16.6 million of capitalized patent-defense costs, net of amortization.
  • Shares outstanding increased to 18.8 million from 16.7 million, primarily due to the registered direct offering of 2.1 million shares.

Material changes versus 2019

  • Revenue growth was driven principally by demand for video collaboration and personal-conferencing products during the COVID-19 shift toward remote work.
  • Installed audio conferencing was negatively affected by lockdowns, postponed projects, restrictions on site installations, and management’s asserted patent infringement by Shure.
  • Gross margin declined because of a higher mix of lower-margin products, freight and tariff costs, and inventory-obsolescence costs.
  • Operating expenses declined 8% to $18.1 million, reflecting lower sales and marketing, research and development, and general and administrative spending.
  • The reported net profit was substantially affected by a $6.4 million income-tax benefit, including approximately $7.1 million of tax refunds receivable from carrying back net operating losses under the CARES Act. The filing continues to report a full valuation allowance against deferred tax assets.
  • Research and product development spending was $5.5 million, compared with $5.8 million in 2019.
  • The Company introduced or shipped new products and services, including COLLABORATE Versa Room CT and Lite CT, UNITE 20 Pro Webcam, Conference Controller, updated CONVERGENCE AV Network Manager software, BMA 360, and Aura home-office packages.

Guidance, outlook, risks, contingencies, and unusual items

Management does not provide quantified revenue or earnings guidance in the filing. Management expects product innovation, cost reduction, working-capital management, expanded video and cloud offerings, and intellectual-property enforcement to support future growth and a return to operating profitability. Management states that available measures are expected to provide liquidity through at least March 31, 2022, but also warns that additional financing may be required if operating results, patent enforcement, or sales efforts do not meet expectations.

  • Patent litigation: ClearOne has ongoing litigation with Shure involving multiple patents, trade secrets, and related claims. A 2019 preliminary injunction concerning Shure’s MXA910 was followed by a September 2020 contempt ruling prohibiting further manufacture, marketing, or sale of the MXA910-A; Shure appealed. Other district-court, Federal Circuit, and PTAB proceedings remained pending. The Company capitalized $6.7 million of patent-defense costs in 2020 and approximately $20.3 million from 2016 through 2020.
  • Litigation accounting risk: Capitalized patent-defense costs depend on management’s judgment that a successful defense is probable and that expected monetary benefits exceed costs. An adverse outcome could require a partial or complete write-off of the $16.6 million net carrying amount.
  • COVID-19: The pandemic reduced installed-market activity and disrupted manufacturing and supply chains, while increasing demand for video and personal-conferencing products. The filing states that the ultimate financial impact remained uncertain.
  • Supply chain: All products are manufactured through outsourced electronics manufacturing providers, primarily Flextronics. Component shortages, tariffs, longer fulfillment cycles, and limited second-source manufacturing capacity could affect revenue, costs, and margins.
  • Liquidity: The Company generated negative operating cash flow and states that it may need additional debt or equity financing. Such financing may be unavailable or dilutive.
  • Controls: Management concluded that internal control over financial reporting was effective at December 31, 2020, but identified two significant deficiencies involving user segregation in the accounting system and inventory-standard-cost update procedures.
  • Other commitments: Purchase commitments were approximately $3.4 million, and uncertain tax positions totaled $0.9 million. The dividend program remains suspended.

Important facts for investors to verify

  • Whether the PPP loan was forgiven and the resulting accounting treatment.
  • Current status and potential financial exposure of the Shure litigation, related appeals, PTAB proceedings, and the preliminary injunction.
  • Recoverability of the $16.6 million in capitalized patent-defense costs.
  • Whether video-revenue growth and new product launches can offset continuing declines in installed audio conferencing and patent-related revenue pressures.
  • Quality and liquidity of the $4.6 million long-term inventory balance and risk of additional write-downs.
  • Availability and terms of any future financing, including dilution from the 2020 equity offering, outstanding warrants, convertible notes, and stock options.
  • Timing and collectability of the approximately $7.1 million CARES Act-related tax refund receivable.
  • Progress in remediating the two significant internal-control deficiencies and any effect on future financial reporting.
