  • Segment sales: Satellite and Space Communications revenue rose 26.6% to $102.4 million; Terrestrial and Wireless Networks declined 1.6% to $49.5 million. Consolidated sales increased 15.9% year over year.
  • Cash and liquidity: Cash was $18.1 million at quarter-end. Current assets were $353.7 million and current liabilities $390.9 million. Cash used in investing was $3.2 million; financing provided $17.0 million, mainly from net borrowings.
  • Debt: Credit Facility borrowings were approximately $184.0 million at October 31, 2023. The full balance was classified as current because the facility matured October 31, 2024. Quarterly blended interest cost was approximately 10.5%, versus 5.9% a year earlier.
  • Margins and costs: Gross margin fell 4.2 percentage points year over year, reflecting product and services mix. Management reported $3.7 million of restructuring costs and $1.4 million of next-generation satellite technology costs during the quarter.

Material changes and significant events

  • Satellite and Space Communications growth reflected higher U.S. government sales, including troposcatter and SATCOM solutions. Terrestrial and Wireless Networks sales were affected by the timing of wireless-carrier 5G rollouts, longer testing and acceptance cycles, and customer transitions to hosted call-handling models.
  • Operating results improved year over year, aided by higher sales and the One Comtech cost and operating initiatives. The prior-year quarter included $9.1 million of CEO transition costs; no comparable costs were recorded this quarter.
  • Bookings were $185.6 million, a 1.22x consolidated book-to-bill ratio. Funded backlog was $695.9 million, versus $662.2 million at July 31, 2023. Management’s approximately $1.7 billion “revenue visibility” also includes unfunded portions of certain multi-year contracts and is not equivalent to funded backlog.
  • On November 7, 2023, the company completed the sale of its Power Systems Technology product line. Preliminary consideration was $35.7 million in cash, plus up to $5.0 million contingent consideration; $32.5 million was received at closing after transaction costs, with $1.0 million held in escrow pending working-capital finalization.

Outlook, risks and contingencies

  • Going concern: Management concluded that conditions raise substantial doubt about the company’s ability to continue as a going concern over the twelve months following issuance. It said current cash and expected operating cash flows were not expected to fund operations and repay debt maturing by October 31, 2024. The company was seeking to refinance or extend the facility, obtain other capital, restructure preferred stock, reduce costs and working capital, and consider asset transactions; successful implementation was not assured.
  • Covenants: At October 31, 2023, the secured leverage ratio was 3.53x against a 3.75x maximum, interest coverage was 3.37x against a 3.25x minimum, and minimum liquidity was $29.2 million against a $25.0 million requirement. The company anticipated it might fail one or more covenants in the following twelve months. A default without a waiver or amendment could accelerate repayment.
  • Subsequent credit amendment: On November 7, 2023, the company amended its facility. Effective January 31, 2024, the revolver limit was scheduled to fall to $140 million and decline by a further $5 million quarterly; term-loan amortization increases, the accordion feature is eliminated, and the applicable rate rises 0.25%. The amendment did not change financial covenants.
  • Near-term guidance: For Q2 FY2024, management targeted consolidated sales growth of approximately 1%–3% and Adjusted EBITDA margin of 11%–13%. It did not provide a GAAP reconciliation, citing inability to predict certain items without unreasonable effort. Management said it expected FY2024 business outlook to be better than FY2023, subject to risks, without providing a specific full-year numerical forecast.
  • Other risks include volatile government-contract funding and order timing, supply and production delays, higher labor and component costs, interest-rate exposure, execution of the One Comtech transformation, and potential customer indemnification claims. The company also noted tax and goodwill impairment risks; it reported no goodwill impairment in this quarter.

Investor verification priorities

  • Progress and terms of refinancing or other funding before the October 2024 maturity, including covenant compliance, available liquidity and any preferred-stock restructuring.
  • Actual cash generation and working-capital trends, especially collections of receivables and unbilled balances, given the $14.5 million operating cash outflow.
  • Whether gross margin stabilizes or improves, and whether cost savings translate into sustained GAAP profitability.
  • Conversion of the announced Army awards and other opportunities into funded orders, revenue and cash; distinguish funded backlog from management’s broader revenue-visibility estimate.
  • Final divestiture proceeds, escrow and contingent consideration, and the resulting debt repayment and tax effects.
