Operating cash flow$(4.4) million$2.0 million
Capital expenditures$18.3 million$19.6 million
  • Sales increased 13.1%, driven mainly by Satellite and Space Communications, whose sales rose 20.8% to $337.8 million. Terrestrial and Wireless Networks sales rose 2.8% to $212.2 million.
  • Gross margin fell 3.5 percentage points, reflecting product mix, inflationary costs and manufacturing-facility start-up costs. Adjusted EBITDA improved, which management attributed principally to higher sales and One Comtech cost and efficiency initiatives. Adjusted EBITDA is non-GAAP and excludes significant expenses; it is not a substitute for GAAP results.
  • Operating cash flow was negative; excluding $14.0 million of payments for restructuring, proxy solicitation and CEO transition costs, management reported operating cash flow of $9.6 million. Capital spending exceeded operating cash flow.
  • Cash and cash equivalents were $19.0 million, versus $21.7 million a year earlier. Current assets were $305.5 million and current liabilities $212.0 million. Accounts receivable rose to $163.2 million from $123.7 million, including higher unbilled receivables.
  • Debt under the senior secured credit facility was $164.4 million, compared with $130.0 million a year earlier; cash net of debt was approximately $145.4 million. FY2023 interest expense was $15.0 million, versus $5.0 million, and the reported blended borrowing rate was approximately 8.9%, versus 3.4%.
  • At July 31, 2023, the company reported a 3.54x secured leverage ratio against a 3.75x maximum, 3.54x interest coverage against a 3.25x minimum, and $28.5 million of covenant-defined minimum liquidity against a $25.0 million requirement. The facility matures October 31, 2024; refinancing and possible extension discussions were underway.
  • The Series A convertible preferred stock had a carrying value of $112.2 million, including cumulative dividends. It bears a 6.5% cumulative dividend and includes conversion, voting and potential repurchase rights.

Material changes, outlook and management commentary

  • Backlog was $662.2 million at year-end, up from $618.1 million a year earlier. FY2023 bookings were $594.1 million and book-to-bill was 1.08x. Management estimated approximately $1.1 billion of revenue visibility, which included certain unfunded multi-year contract values and excluded two Army awards announced in September 2023. Backlog may be cancelled or modified, and is not assurance of revenue or profitability.
  • Management’s stated FY2024 outlook was for first-quarter consolidated sales to increase sequentially by approximately 1%–4% and Adjusted EBITDA margin to be 11%–13%. The targets depended on order timing and performance, including Army VSAT equipment and the $544.0 million Global Field Service Representative (GFSR) award; the GFSR contract had been protested by the incumbent. The targets assumed no divestiture. The filing does not provide full-year FY2024 numerical guidance.
  • In September 2023, Comtech announced a $544.0 million potential-value, multi-year Army GFSR contract and a $48.6 million Army EDIM modem contract. These awards occurred after fiscal year-end; the GFSR award was subject to protest. In July 2023, the company also received initial $21.0 million funding under Ohio’s NG-911 contract, which has an expected total value of approximately $85.0 million.
  • In October 2023, Comtech agreed to sell its solid-state RF microwave high-power amplifiers and control components product line for a preliminary $35.0 million cash price, plus up to $5.0 million contingent consideration, subject to customary closing conditions and working-capital adjustment. Management expected to use some or all of the proceeds to reduce debt and interest costs.
  • Management described persistent supply-chain delays and component shortages, inflation, higher labor and logistics costs, and lower factory utilization. Some key components have limited or single-source supply, and shortages could delay shipments, reduce revenue or margins, or increase cash needs.
  • The company continued its “One Comtech” restructuring and integration initiative. FY2023 included $10.9 million of restructuring costs, $9.1 million of CEO transition costs and $3.8 million of strategic emerging-technology costs. FY2022 included $11.2 million of proxy solicitation costs and $13.6 million of CEO transition costs. The company stopped common dividends after two $0.10-per-share payments during FY2023 to preserve financial flexibility.
  • Other significant exposures include dependence on government appropriations and customer procurement decisions, fixed-price contract cost overruns, wireless-carrier relationships (Verizon represented 10.6% of FY2023 sales), export controls and sanctions, cybersecurity, and potential impairment of goodwill. Goodwill totaled $347.7 million; the August 2023 annual test found estimated fair value above carrying value by at least 18.3% for Satellite and Space Communications and 8.9% for Terrestrial and Wireless Networks.
  • The auditor issued unqualified opinions on the financial statements and internal control over financial reporting; management and the auditor concluded internal controls were effective. The auditor identified contract cost-to-complete revenue estimates and Terrestrial and Wireless Networks goodwill valuation as critical audit matters.

Important facts for investors to verify

  • Progress, terms and timing of refinancing or extending the credit facility before its October 2024 maturity, covenant headroom, borrowing costs and any preferred-stockholder consent requirements.
  • Whether the high-power amplifier divestiture closes, its final net proceeds and the amount actually applied to debt reduction.
  • Status and funding of the GFSR contract protest, timing and profitability of the GFSR and EDIM awards, and whether the stated Q1 FY2024 targets were achieved.
  • Backlog quality and conversion: funding, cancellation rights, delivery schedules, contract profitability and the distinction between firm backlog and management’s broader revenue-visibility estimate.
  • Whether supply constraints, working-capital needs and contract cost estimates affect shipments, gross margins and cash generation; receivables and unbilled balances also warrant monitoring.
  • Preferred-stock dividend accruals, conversion and repurchase provisions, and the October 2023 investor proposal to exchange the preferred stock and purchase additional securities, which was non-binding and not assured to close.
