Interest expense and finance charges increased to $34.0 million from $8.8 million, primarily because of higher borrowings and interest rates following the PK and ServiceSource acquisitions. Other expense was $3.7 million, compared with other income of $7.6 million in the prior-year quarter. The effective tax rate increased to 25.7% from 24.6%.

As of February 28, 2023, cash and cash equivalents were $178.4 million, or $190.0 million including restricted cash. Long-term debt, net, was $2.220 billion, consisting principally of a $1.850 billion term loan and $377.0 million under the receivables securitization facility. The Company reported total liquidity of approximately $1.301 billion, including cash, $1.000 billion of undrawn revolver capacity and $123.0 million of undrawn securitization capacity. The Company was in compliance with its debt covenants.

Material changes versus the prior comparable period

  • Revenue increased 6.5%; management attributed the increase to acquired operations and higher volumes across most verticals, partly offset by a $39.9 million unfavorable foreign-currency translation effect.
  • Revenue from acquired operations contributed $81.7 million in the quarter. Excluding acquired and divested operations and adjusting for currency, adjusted constant-currency revenue was $1.595 billion versus $1.453 billion in the prior-year period.
  • Technology and consumer electronics revenue increased 9.9%, retail, travel and ecommerce increased 7.2%, banking, financial services and insurance increased 6.7%, and healthcare increased 18.4%. Communications and media declined 1.4%, while other revenue declined 5.6%.
  • Gross margin improved due primarily to the geographic mix of service delivery. SG&A increased 8.9% and rose to 26.0% of revenue from 25.4%, reflecting acquired operations and higher acquisition-related and integration expenses.
  • GAAP net income and EPS declined despite higher operating income because of substantially higher interest expense and the change from other income to other expense.
  • Operating cash flow improved materially due primarily to favorable working-capital changes. Capital expenditures declined to $39.6 million from $45.4 million.
  • The Company repurchased approximately 71,340 shares under its repurchase program for $10.0 million during the quarter and paid $14.3 million of dividends. Approximately $344.1 million remained available under the repurchase authorization at February 28, 2023.

Guidance, outlook, commentary and risks

The filing does not provide a clear numerical quarterly or full-year revenue or earnings guidance figure. Management stated that current cash balances, operating cash flows and available credit are expected to support operating, working-capital and investment needs for at least the next twelve months.

On March 29, 2023, after quarter-end, Concentrix entered into a binding put option agreement related to the proposed acquisition of Webhelp. The transaction was valued at approximately $4.8 billion, including assumed net debt of approximately €1.55 billion, and was expected to close by year-end subject to works council consultations, Concentrix shareholder approval, regulatory approvals and other customary closing conditions. Consideration was expected to include approximately 14.9 million Concentrix shares, €500 million in cash, a €700 million two-year note bearing 2% interest and potential additional shares.

In connection with the proposed Webhelp transaction, JPMorgan committed to a conditional 364-day bridge facility of up to $5.29 billion. The transaction and financing would materially increase execution, integration, leverage and interest-rate risks if completed.

Key operating risks identified by management include foreign-currency movements, inflation and labor-cost pressure, client demand variability and early contract termination, competition, cybersecurity and data-protection events, employee retention, technology and network failures, geopolitical and macroeconomic conditions, tax exposures, acquisition integration, and the ability to obtain transaction financing. Approximately 79% of Q1 revenue was generated from non-U.S. operations, while approximately 69% was priced in U.S. dollars, creating currency and cost-mismatch exposure.

All outstanding debt under the Credit Facility and Securitization Facility was variable-rate debt. Management estimated that a 100-basis-point increase in interest rates would increase annual interest expense by approximately $22.3 million, holding other variables constant. The Company uses foreign-exchange derivatives, but stated that hedges may not fully offset currency effects.

The Company reported no new material legal proceedings, no material changes to previously disclosed risk factors, and effective disclosure controls as of February 28, 2023.

Most important facts for investors to verify

  • Confirm the final terms, approvals, financing, closing date and post-closing leverage associated with the proposed Webhelp combination.
  • Reconcile the reported revenue growth with the $81.7 million acquired-revenue contribution and the $39.9 million foreign-currency headwind.
  • Monitor interest expense, variable-rate debt, covenant compliance and liquidity following any Webhelp-related borrowings.
  • Assess whether the higher SG&A ratio and acquisition-related costs affect future operating-margin expansion.
  • Review cash conversion, working-capital movements and capital expenditures supporting the reported $64.3 million of free cash flow.
  • Evaluate foreign-exchange, labor-cost, client-concentration and client-retention risks, particularly given the Company’s global delivery footprint.
  • Confirm the continuation of quarterly dividends and share repurchases, which remain subject to board approval, liquidity, earnings and debt-covenant considerations.
