Cohu, Inc. — FY2017 Form 10-K
Business context and reporting period. Cohu supplies semiconductor test handlers, MEMS test modules, thermal subsystems and test contactors. The fiscal year ended December 30, 2017 (52 weeks); fourth-quarter results cover 13 weeks. The 2016 comparison comprised 53 weeks. Results are from continuing operations unless noted. Cohu acquired Japan-based contactor manufacturer Kita on January 4, 2017; its results are included from that date.

FY2017 sales increased 25%; management attributed growth to stronger semiconductor industry conditions, market-share gains in test handlers and contactors, and demand tied to automotive, mobility and IoT applications. Kita contributed $19.2 million of sales. Orders increased 41% year over year. Gross-margin expansion reflected favorable product mix, manufacturing cost reductions from shifting volume-handler production to Asia, and higher factory utilization. R&D expense rose to $40.7 million from $34.8 million.
Fourth-quarter 2017 sales were $84.1 million versus $70.7 million in Q4 2016; gross profit was $34.4 million and income from continuing operations and net income were each $6.9 million, compared with $2.3 million and $2.1 million, respectively. Q4 2016 had one additional week.
Liquidity, debt and capital allocation
At year-end, cash, cash equivalents and short-term investments totaled $155.6 million, up from $128.0 million; working capital was $212.2 million, up from $176.5 million. Operating cash flow increased to $39.8 million. Inventory rose $12.2 million, partly reflecting purchases ahead of shipments scheduled for Q1 2018. Capital expenditures were $6.1 million.
Kita-related borrowings totaled approximately $9.0 million: $3.1 million of short-term revolving borrowings and $5.9 million of term loans. The term loans are secured by Kita’s facility and land and carry stated interest rates of 0.05%–0.45%. Cohu repaid $1.6 million of term loans during 2017. Cash dividends were $0.24 per share for the year; management said quarterly dividends would continue subject to capital availability and Board approval.
Changes, outlook and risks
- Acquisition and backlog: Kita expanded Cohu’s contactor business. Backlog rose to $107.6 million from $65.1 million, but orders may be canceled or rescheduled and backlog may not predict future sales. Adoption of revenue standard ASC 606 began in fiscal 2018; Cohu expected approximately $1.3 million of previously deferred revenue to be recorded as an opening retained-earnings adjustment.
- Tax item: The 2017 tax provision was $2.2 million, or 6.3% of pretax income. The Tax Cuts and Jobs Act effects were provisional and subject to completion in 2018; the filing describes a $16.6 million estimated transition-tax liability offset by tax credits and net operating losses and a $4.0 million deferred tax benefit from remeasurement, among other effects. The company’s U.S. deferred tax assets remained subject to a $31.5 million valuation allowance, reflecting its cumulative U.S. pretax loss history.
- Management outlook: Management reported strong customer test-cell utilization, cited momentum in automotive, mobility and industrial markets, and expressed optimism about semiconductor complexity and quality trends. It provided no specific quantified earnings or revenue guidance in the supplied filing text.
- Key risks: Semiconductor-equipment cyclicality and limited market visibility; customer concentration (NXP 15.9% and Intel 11.2% of 2017 sales); intense pricing and product competition; reliance on sole- or limited-source suppliers and overseas manufacturing; product acceptance, transition and inventory-obsolescence risk; foreign-exchange exposure; and acquisition integration and contingent-payment risk. Cohu recorded $3.0 million of foreign-currency transaction losses in 2017 versus $2.6 million of gains in 2016.
- Other items: The 2017 discontinued-operations loss of $0.3 million reflected writing off contingent consideration from the 2015 BMS divestiture after revenue targets were missed. Legal matters were described as arising in the ordinary course; management did not expect their resolution to materially affect the company. Auditors issued unqualified opinions on the financial statements and internal controls.
Investor verification points
- Assess how much of the 2017 sales and margin improvement is sustainable versus cycle strength, manufacturing utilization and product mix.
- Verify backlog conversion, cancellations and the actual ASC 606 transition effects on reported revenue and earnings.
- Track Kita’s integration, contactor growth and profitability, including the $1.5 million earnout payment due in early 2018 and remaining contingent consideration.
- Review the final 2018 accounting for the Tax Act, realization of U.S. deferred tax assets and potential changes to the tax provision.
- Monitor inventory growth, customer concentration, supplier availability and foreign-exchange impacts on cash flow and margins.
- Confirm liquidity needs against debt maturities, foreign-held cash and the company’s dividend and investment plans.
