Liquidity, debt and balance sheet

  • Cash, cash equivalents and restricted cash were $477.7 million at July 31, 2020, up from $186.3 million at July 31, 2019.
  • Working capital was $607.7 million, compared with $405.2 million in the prior year.
  • Total debt and finance lease obligations were $397.8 million. The balance consisted principally of $400.0 million of senior secured notes; there were no borrowings under the revolving facility.
  • On July 21, 2020, Copart amended and extended its revolving credit facility, increasing commitments to $1.05 billion and extending maturity to July 21, 2023.
  • Management reported approximately $1.5 billion of liquidity and stated that available cash and operating cash flow should fund operating and working-capital needs for at least the next 12 months.
  • Debt covenants were satisfied at year-end. The consolidated total net leverage ratio was negative 0.03:1.
  • Copart had $24.6 million of outstanding letters of credit, primarily supporting insurance obligations.

Material changes versus the prior comparable period

  • Service revenue increased in both regions, led by higher U.S. volume, new and expanded insurance contracts, existing-supplier growth and higher revenue per vehicle.
  • Vehicle sales revenue declined because International volume fell, principally following contractual shifts from purchase contracts to fee-based service contracts and changes in vehicle mix. U.S. vehicle sales increased.
  • Operating leverage improved: operating expenses declined to 63% of revenue from 65%, while operating margin increased to 37% from 35%.
  • International operating income declined to $67.3 million from $75.7 million, while U.S. operating income increased to $748.8 million from $640.8 million.
  • Capital expenditures rose substantially to $592.0 million, reflecting land, facility development and expansion, equipment and software. Copart opened three U.S. facilities, two German facilities and one Brazilian facility during FY2020.
  • Financing cash outflow decreased to $27.4 million from $370.3 million, primarily because FY2019 included $365.0 million of share repurchases. No shares were repurchased under the program in FY2020.
  • Property and equipment increased to $1.942 billion from $1.428 billion. Operating lease right-of-use assets of $118.5 million were recognized following adoption of the new lease accounting standard.

Guidance, outlook, commentary and risks

The filing does not provide numerical revenue or earnings guidance. Management expects COVID-19 to adversely affect future quarterly revenue because shelter-in-place orders sharply reduced miles driven, accident frequency, vehicle assignments and auction inventories. Copart remained classified as an essential business and continued yard operations and online-only auctions, but noted that lower assignments in the final months of FY2020 would affect subsequent auction revenue because most transactional revenue is recognized when vehicles are sold.

  • Key COVID-19 uncertainties include renewed restrictions, lower long-term miles driven, outbreaks at operating locations, title-processing disruptions and deteriorating economic conditions.
  • Material operating risks include dependence on a limited number of major vehicle sellers, competition for vehicle supply and buyers, capacity and zoning constraints, international expansion and integration, foreign currency volatility, cyberattacks, privacy regulation and environmental liabilities.
  • A hypothetical 10% adverse currency movement was estimated to reduce FY2020 operating income by approximately $7.0 million. Copart does not hedge translation exposure.
  • Goodwill was $343.6 million. The FY2020 qualitative impairment assessment found no material impairment risk, but future deterioration in performance or market conditions could result in a non-cash charge.
  • The company has not paid a cash dividend since becoming public and intends to retain earnings for business purposes, although debt agreements permit restricted payments subject to leverage and liquidity conditions.
  • There were no material pending legal proceedings and no off-balance-sheet arrangements reported.

Important facts for investors to verify

  • Confirm the impact of post-July 2020 COVID-19 vehicle assignments, miles driven and auction inventories on subsequent revenue and margins.
  • Review the mix of fee-based service revenue versus principal vehicle sales, particularly the continuing shift in International markets.
  • Assess the return on the substantial facility and land investment and whether new capacity translates into sustained volume and operating income growth.
  • Verify liquidity availability, covenant calculations, note maturities and the terms of the amended $1.05 billion revolving facility.
  • Separate the recurring effective tax rate from the FY2020 benefit of stock-option-related tax items.
  • Monitor insurance-company concentration, seller retention, competitive bidding for supply and the effect of foreign exchange movements.
  • Review environmental, cyber-security, data-privacy, regulatory and self-insurance exposures, including the $45.0 million of accrued unrecognized tax benefits and related contingencies.
