Q3 revenue increased 0.8% year over year, but declined 0.2% at constant currency. Nine-month reported revenue was essentially flat, with 0.4% constant-currency growth. Q3 adjusted measures exclude specified items and are non-GAAP.

Q3 segment revenue changes were Financial Services down 3.0%, Health Sciences flat, Products and Resources up 1.9%, and CMT up 8.2%. Financial Services weakness reflected banking-sector softness; CMT and Products and Resources benefited from acquisitions and demand in selected markets. In the first nine months, Financial Services revenue fell 3.9%, while the other three segments grew.

Cash, debt and capital allocation

At September 30, cash and cash equivalents were $2.204 billion and short-term investments were $164 million. Current assets were $7.127 billion and current liabilities were $3.191 billion. Total debt was approximately $647 million, including $33 million current and $614 million long-term; the $1.85 billion revolving facility had no borrowings. The company reported approximately $2.0 billion of available credit capacity and was in compliance with debt covenants.

Nine-month operating cash flow declined $273 million year over year, primarily due to higher income-tax payments, partly offset by improved receivables collections. Investing activities used $499 million, including $409 million for acquisitions; financing activities used $1.154 billion. Cognizant repurchased $751 million of shares and paid $445 million in dividends during the nine months. The board declared a subsequent $0.29-per-share dividend, payable November 30, 2023. DSO was 77 days, up from 74 days at December 31, 2022.

Outlook, management commentary and notable items

  • The filing describes client demand as uncertain amid macroeconomic, regulatory and geopolitical conditions. It does not provide a clear quantitative full-year revenue or EPS forecast in the supplied text.
  • Management’s priorities are accelerating growth, becoming an employer of choice, and simplifying operations. Compensation increases weighed on margins; rupee depreciation and NextGen savings partly offset the pressure.
  • The NextGen restructuring program, launched in Q2 2023, is intended to simplify operations and consolidate office space. Charges were $72 million in Q3 and $189 million year to date. Expected total costs are approximately $300 million, with about $200 million anticipated in 2023 and $100 million in 2024; completion is expected by the end of 2024. Actual costs and savings may differ from estimates, and implementation could disrupt operations.
  • Trailing-12-month voluntary attrition for Tech Services was 16.2%, compared with 29.2% a year earlier. Headcount was approximately 346,600, versus 349,400 at Q3 2022.
  • In an Indian tax dispute concerning CTS India’s 2016 share repurchase, the ITAT ruled unfavorably in September 2023. Cognizant appealed to the High Court and has not recorded a reserve, maintaining that applicable taxes were paid. The disputed demand is 33 billion rupees, approximately $398 million; deposits and liens are already in place, and the court is considering whether an additional deposit is required.
  • In the Syntel litigation, the Second Circuit affirmed liability but vacated a $570 million damages award and remanded damages for further proceedings. Cognizant will not recognize a gain until realizable.
  • The filing says other disclosed risk factors were not materially changed, except for the added NextGen execution and cost risks. Disclosure controls were deemed effective, with no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether discretionary client spending stabilizes, particularly in North American banking and retail, and whether acquisition contributions translate into sustained organic growth.
  • Whether margins recover as compensation costs, NextGen savings and new-deal ramp costs evolve; compare GAAP results with the company’s non-GAAP adjustments.
  • Actual NextGen cash costs, timing, savings and operational effects relative to the approximately $300 million estimate.
  • Developments in the Indian tax appeal, including any additional deposit requirement or changes to the liens; no reserve was recorded for the disputed matters.
  • Damages proceedings in the Syntel case and the eventual outcome, which remains unresolved.
  • Cash conversion and receivables performance, including the increase in DSO, alongside acquisition spending, share repurchases and dividend commitments.
