Revenue increased 6.4%, led by RF, embedded and network products; cellular revenue and services revenue declined. Gross margin improved by 0.7 percentage points, principally due to product mix and cellular cost reductions. Operating expenses fell 4.6% to $21.1 million, despite a $0.7 million restructuring charge. Management-reported EBITDA from continuing operations, a non-GAAP measure, was $4.6 million (9.1% of revenue), versus $2.2 million (4.8%).

Cash, liquidity and balance sheet

  • At December 31, cash and cash equivalents were $52.2 million; marketable securities were $61.7 million, including $50.2 million current. Total cash and marketable securities were $113.9 million.
  • Working capital was $146.8 million. Total current assets were $165.1 million and current liabilities $18.3 million.
  • The balance sheet reports no debt balance. Total liabilities were $30.8 million and stockholders’ equity was $285.5 million.
  • Cash from operations was lower year over year, primarily reflecting working-capital movements, including payment of accrued bonuses. Capital expenditures were $0.5 million; management expected approximately $4.8 million for full-year FY2016.

Material changes and unusual items

  • Digi sold Etherios on October 23, 2015, classifying it as discontinued operations following a strategic shift toward machine-connectivity solutions. The sale generated a $2.9 million pre-tax gain; discontinued-operations income was $3.3 million after tax, or $0.13 per diluted share. The $9.0 million stated sale price includes amounts payable later; reported fair-value consideration was $7.9 million after adjustments and discounting.
  • Digi acquired Bluenica on October 5, 2015, to establish Digi Cold Chain solutions. It paid $2.9 million at closing and recorded $10.4 million of fair-value contingent consideration, with potential earn-outs tied to revenue. The purchase-price allocation was preliminary.
  • A restructuring plan affecting approximately 10 positions included closing the Dortmund office and consolidating Minneapolis employees at headquarters. The $0.7 million charge comprised severance and contract-termination costs; payments were expected to finish by Q3 FY2016.
  • Foreign currency translation reduced revenue by approximately $0.7 million year over year. The company recorded a $0.4 million continuing-operations tax provision, including quarter-specific tax benefits.

Outlook, risks and contingencies

Management said existing cash, marketable securities, operating cash generation and potential access to financing should fund operations and capital expenditures for the next 12 months and beyond. No specific revenue or earnings guidance was provided. Management expects service revenue to fluctuate and mature network products to decline over time.

  • A December 2015 patent-infringement complaint alleges infringement of four mesh-networking patents. Digi said it could not predict the outcome or estimate a loss range.
  • Key disclosed risks include competition, technology changes, product-development and integration challenges, customer and supplier conditions, supply-chain disruption, litigation, acquisition/divestiture execution, and fluctuations in revenue and profitability.
  • The company has foreign-currency and investment-credit exposure and does not use formal currency or interest-rate hedging. Most investments mature within one year; 69 of 81 securities were below amortized cost at quarter-end, which management considered temporary.

Investor facts to verify

  • Whether growth in RF and embedded products can persist, particularly given the large Latin American RF project, and whether it offsets weaker cellular and service revenue.
  • Progress integrating Bluenica, final purchase accounting, and the assumptions and eventual payments associated with its contingent consideration.
  • Collection of the Etherios sale receivables and the final tax and working-capital adjustments to the transaction.
  • Cash-flow conversion and execution of the $4.8 million FY2016 capital-expenditure plan.
  • Developments in the mesh-networking patent litigation and any change to the company’s stated inability to estimate potential losses.
