Liquidity, capital and balance sheet
- At June 30, cash and cash equivalents were $55.9 million; short- and long-term marketable securities totaled $44.7 million. Cash, cash equivalents and marketable securities totaled $100.6 million.
- Working capital was $130.4 million, compared with $128.0 million at September 30, 2013. Current assets were $151.9 million and current liabilities $21.5 million.
- Total liabilities were $24.4 million; the filing reports no borrowings or debt balance.
- Nine-month investing cash flow was positive $17.1 million, mainly reflecting $19.8 million net proceeds from securities maturities. Financing cash use was $5.5 million, including $9.7 million of share repurchases.
- Management expected fiscal 2014 capital expenditures of approximately $3.9 million and stated available liquidity and expected operating cash flows should fund operations and capital expenditures for the next 12 months and beyond.
Changes, outlook and risks
- Gross margin declined from 50.6% to 46.3% for the quarter and from 51.5% to 47.4% for the nine months. Management attributed the decline to weaker service margins and underutilized consulting resources, as well as product mix; it expected margins to remain below historical levels.
- Lower service revenue reflected customer deferrals or cancellations and inability to replace certain projects. Management expected flat to slight revenue growth in wireless design and CRM services for the remainder of fiscal 2014; timing of delayed embedded-module orders remained uncertain.
- Management said mature-product revenue was expected to decline over time and noted discontinuation of satellite products and certain serial cards. The shift toward broader solutions may involve longer, more complex sales cycles.
- CEO Joseph T. Dunsmore announced retirement effective December 31, 2014; a successor had not yet been appointed. The filing cites transition, retention and execution risks.
- Cash included approximately $33.5 million held by foreign subsidiaries, including $27.2 million of undistributed foreign earnings. Potential U.S. tax on repatriation was estimated at $1.8–$2.8 million if the reinvestment assertion changed.
- Annual goodwill testing found no impairment, but estimated fair value exceeded carrying value by only 16%; changes in stock price or control-premium assumptions could trigger further testing. The filing also identified ordinary-course claims and litigation risks; it reported no current legal proceedings.
Other notable items
- Digi corrected a prior-period balance-sheet error involving state R&D tax credit carryforwards, increasing September 30, 2013 retained earnings and long-term deferred tax assets by $0.3 million. Management deemed the error immaterial; prior-period operating results and fiscal 2014 statements were unaffected.
- A $1.5 million patent settlement had been recorded and paid in fiscal 2013; it fully resolved the identified USEI claims.
- The company repurchased 1,001,657 shares for $9.7 million during the first nine months of fiscal 2014, with $10.3 million remaining under its authorization at June 30.
- Disclosure controls were assessed as effective, with no material change in internal control over financial reporting reported for the quarter.
Important facts for investors to verify
- Whether delayed customer purchases resume and service-project demand recovers, particularly given the steep quarterly decline in service revenue and margin.
- Progress in appointing a CEO successor and any effects of the leadership transition on key personnel or execution.
- Cash-flow conversion and inventory levels, which rose amid component purchases and delayed customer orders.
- Whether goodwill valuation assumptions remain supportable and whether any tax, repatriation or other contingency exposure changes.
- Share-repurchase activity and remaining authorization; the program was scheduled to expire October 31, 2014.
