  • Q4: Sales were $350.4 million versus $301.2 million in Q4 2019; net income attributable to common stockholders was $29.7 million versus $47.2 million, and diluted EPS was $0.59 versus $0.90.
  • Cash and liquidity: Year-end cash and cash equivalents were $268.1 million, restricted cash $52.5 million, and short-term investments $6.1 million. Working capital was $514.2 million, down from $524.6 million.
  • Debt: Year-end borrowings included $140.6 million under foreign short-term credit lines and approximately $312.2 million of long-term debt before unamortized issuance costs; the latter includes the $282.3 million U.S. term loan and Taiwan subsidiary debt. The U.S. term loan and revolver mature in May 2023. The $150 million U.S. revolver was undrawn at year-end.
  • Cash generation: Operating cash flow less capital expenditures was approximately $111.4 million. Cash, cash equivalents and restricted cash increased $61.0 million; a $34.9 million favorable foreign-exchange effect contributed to the increase.
  • Other indicators: Total assets were $2.0 billion and total equity was $1.0 billion. The U.K. defined-benefit pension plan was underfunded by $27.4 million. Backlog was $618.3 million at year-end versus $278.7 million a year earlier, but orders are generally cancellable and management cautions backlog is not a reliable measure of future sales.

Material changes and unusual items

  • Management attributed the annual sales decline to COVID-19 and its effects on the global economy; $16.9 million of LSC sales after its November acquisition partly offset the decrease.
  • Lower capacity utilization, including pandemic-related manufacturing disruptions and weaker early-year demand, contributed to a 1.5% increase in average unit cost and lower gross margin.
  • FY2019 operating income included a $24.3 million gain from selling land. This unusual comparison item contributed to the reported decline in 2020 operating income; Q4 2019 also included the land-sale gain.
  • Interest expense rose to $11.7 million from $7.9 million, primarily reflecting acquisition-related borrowing. Foreign-currency losses increased to $9.8 million from $3.7 million.
  • Income tax expense was $21.1 million, with a 17.5% effective rate, versus $44.1 million and 22.3% in 2019; management cited lower non-U.S. withholding taxes.

Strategy, outlook and risks

  • Diodes acquired Lite-On Semiconductor Corporation (LSC) on November 30, 2020, for stated aggregate consideration of approximately $453.4 million. The transaction broadened discrete-product offerings and expanded manufacturing capacity. Diodes also reacquired 7.8 million of its own shares held by LSC for approximately $296.8 million; the filing treats this as settlement of a pre-existing relationship, separate from the business combination. LSC contributed one month of results.
  • Management reiterated its 2025 goals of $2.5 billion in revenue, 40% gross margin and $1.0 billion in gross profit, and described acquisitions as an important part of its growth strategy. The filing provides no specific FY2021 revenue or earnings guidance.
  • COVID-19 had already affected results, cash flows and financial condition, but management said the pandemic’s full impact could not be reasonably estimated. China and U.K. operations, temporarily disrupted earlier in 2020, had resumed full production by the report date.
  • Key risks include semiconductor cyclicality and pricing pressure; customer order cancellations; manufacturing utilization and supply interruptions; acquisition integration and debt; and exposure to China, tariffs, foreign exchange, and geopolitical or regulatory changes. The company also relies on Chinese tax incentives and faces pension, tax-contingency and cybersecurity risks.
  • In January 2021, a subsidiary entered into a new $100 million Hong Kong revolving facility, maturing in January 2023, to refinance certain debt and support working capital and general corporate purposes.
  • The auditor gave an unqualified opinion on the financial statements and internal control over financial reporting. Management concluded controls were effective, but excluded LSC from its 2020 internal-control assessment; LSC represented 17.8% of year-end assets and 1.3% of annual sales.

Important facts for investors to verify

  1. Track whether LSC integration, utilization improvements and acquired capacity translate into durable revenue and margin gains; its reported 2020 contribution covered only one month.
  2. Review the final purchase-price allocation for LSC: the filing says it was preliminary and that changes to acquired asset and liability values could be material.
  3. Assess debt repayment capacity, floating-rate exposure, facility covenants and refinancing needs, particularly alongside acquisition spending and capital investment.
  4. Evaluate the quality of the large backlog and inventory balances, given order cancellation rights and the risk of demand shifts or obsolescence.
  5. Monitor COVID-related demand and operating effects, China/tariff and foreign-exchange exposure, and the pension funding and tax contingencies.
  6. Note that LSC was excluded from the year-end internal-control assessment and auditor testing; verify how its controls are incorporated after acquisition.
