Outlook and management commentary
For Q2 2014, management forecast revenue of $216 million–$229 million, up 2.9%–9.1% sequentially; gross margin of 30.5%, plus or minus 2%; operating expenses of approximately 21.8% of revenue, plus or minus 1%; and an income tax rate of 19%–25%. Expected weighted-average shares for EPS were approximately 48.2 million. Management cited expected continued gross-margin improvement, cost controls, profitability and cash generation.
Management said Q1 revenue was essentially flat sequentially despite the Chinese New Year slowdown, supported by inventory built in Q4 2013. Automotive and industrial were the strongest end-markets, partly offset by computing and communications; Europe rebounded from a soft prior quarter and North America also showed strength. Estimated 2014 tax rate was approximately 20%, excluding discrete items.
Material risks, contingencies and unusual items
- Tax: The Q1 2013 effective tax rate of 153% included a substantial China tax-audit charge; Q1 2014’s rate was 20%. Approximately $21 million of gross unrecognized tax benefits was recorded, with possible changes in the next 12 months that the company could not estimate.
- Pension: The U.K. defined-benefit plan was underfunded by approximately $31.7 million at March 31. The company was discussing future contributions with trustees; it had an existing plan to pay approximately £2 million annually through 2019. Required contributions could increase if funding assumptions or market conditions change.
- Litigation: The company disclosed a securities class action and two stockholder derivative actions concerning alleged disclosures, stock-option awards and statements about China labor conditions. Management intended to defend the cases and did not then expect pending proceedings to materially affect financial position, cash flows or overall results; outcomes remain uncertain.
- Concentration and operations: China represented 61% of Q1 sales by customer destination; approximately 80% of sales were derived from Asian subsidiaries. Risks include semiconductor cyclicality, pricing pressure, supply and manufacturing disruptions, foreign exchange, China-related conditions and reliance on a related-party supplier.
- The company had approximately $11 million of non-cancelable capital-expenditure purchase commitments. It reported no material changes to its previously disclosed debt instruments, contractual obligations or market risks.
