  • Sales declined about 10% year over year. Average selling price fell approximately 21%, partly offset by a 13% increase in units sold.
  • Gross profit fell 41%; management attributed the margin contraction mainly to weaker pricing and lower utilization. Average unit cost declined 6%.
  • Operating expenses were $28.2 million versus $29.1 million, including an approximately $2 million gain from selling intangible assets. Other income was $0.7 million, compared with $3.2 million of other expense in Q1 2011, which included about $2 million of convertible-note discount amortization.
  • Cash and equivalents were $176.7 million at quarter-end, up from $129.5 million at year-end. The $47.2 million increase was principally supported by financing, including a $40 million term-loan draw; it was not solely generated by operations.
  • Working capital was $368 million. Total assets were $847.8 million and total liabilities were $188.5 million. Debt included $10.5 million of lines of credit and $42.8 million of long-term debt, excluding capital leases.

Material changes and financial position

  • Compared with Q1 2011, lower sales and pricing compressed gross margin from 36% to 23%; common-stockholder net income fell about 75%.
  • Long-term debt rose to $42.8 million from $2.9 million at December 31, 2011, primarily reflecting the $40 million term loan drawn February 1, 2012, due January 17, 2015.
  • Inventory declined to $134.5 million from $140.3 million; finished-goods inventory fell 20% during the quarter, while channel inventory declined 3%, according to management.
  • Investing activities used approximately $9.7 million of cash, including $11.9 million of property and equipment purchases and $2.1 million of proceeds from intangible-asset sales. Financing activities provided approximately $42.8 million.
  • The U.K. and Germany defined-benefit plan was underfunded by $15.9 million at March 31, 2012. The filing says the company was discussing the future payment scheme with plan trustees.

Outlook, commentary, and risks

  • Management said it saw improving demand late in Q1, viewed Q1 as potentially the cyclical low, and planned to resume a growth-focused strategy, including adding advanced-packaging capacity in Shanghai. It expected to shift capacity toward higher-margin products if demand and pricing improved.
  • For Q2 2012, the company forecast revenue of $155–$164 million, up 7%–13% sequentially; gross margin of 26%, plus or minus 2 percentage points; a slightly lower operating-expense ratio than Q1; an effective tax rate of 7%–13%; and approximately 47.2 million shares for GAAP EPS calculations. These are forward-looking estimates, not reported results.
  • Management expected cash, operating cash generation, and available credit to cover working-capital and capital-expenditure needs for at least 12 months. For 2012, capital expenditures excluding the Chengdu investment agreement were expected at the low end of the historical 10%–12%-of-sales model.
  • Key risks include semiconductor cyclicality, pricing pressure, demand and utilization, international and currency exposure, reliance on suppliers and related parties, and potential loss of preferential tax treatment. Three related parties include significant customers or suppliers; LSC owned about 18% of Diodes, and Diodes owned about 30% of Eris.
  • The company had approximately $31 million of non-cancelable capital-expenditure purchase commitments. Under its Chengdu joint-venture agreement, it was obligated to contribute about $48 million by December 14, 2012; approximately $33 million had been contributed by quarter-end.
  • Unrecognized tax benefits were approximately $10 million; the company could not estimate the range of possible changes over the next 12 months. Tax holidays reduced Q1 tax expense by about $2 million.
  • The filing reports no material litigation, no material change in risk factors from the 2011 Form 10-K, and effective disclosure controls at the reasonable-assurance level.
