  • Q3 revenue rose 15% year over year; operating margin increased to 20% from 18%. Gross margin was approximately 70%, versus 69%. Diluted EPS increased 22%.
  • For the first nine months, revenue increased 22%, operating income 24%, and net income 49%. Comparisons include GSI only from its June 2011 acquisition date in the prior-year period, and include divestiture effects.
  • Q3 segment revenue and operating income: Marketplaces $1,806 and $705; Payments $1,367 and $309; GSI $226 and $14. Payments revenue grew 23% year over year, Marketplaces 9%, and GSI 12%.
  • Operating cash flow was $2,453 for the first nine months, versus $2,291. Capital expenditures were $961, versus $672; cash flow after those expenditures was approximately $1,492, versus $1,619. Q3 operating cash flow was approximately $1.2 billion, versus $809 million.
  • Cash and cash equivalents were $7,331 at September 30, up from $4,691 at December 31, 2011. Cash, cash equivalents and investments together were approximately $11.6 billion. Total debt was $4,518, versus $2,090; the increase chiefly reflects $3 billion of senior notes issued in July. No commercial paper was outstanding, and $1 billion of credit-facility capacity was available for other purposes. eBay reported compliance with debt covenants.
  • Loans and interest receivable, principally Bill Me Later consumer receivables, were $1,792, up from $1,501 at year-end. Approximately 89% of the portfolio was current; the weighted-average FICO score was 691. The loan-loss allowance was $87.

Material changes and management commentary

  • Marketplaces GMV excluding vehicles increased 11% in Q3; vehicle GMV fell 7%. Payments net TPV grew 20%, with Merchant Services net TPV up 23% and on-eBay net TPV up 15%. GSI merchandise sales increased 16%.
  • Management attributed growth to stronger activity across Marketplaces regions, wider PayPal adoption on and off eBay, and growth in Bill Me Later. Foreign currency movements reduced Q3 revenue by approximately $80 million and nine-month revenue by approximately $202 million, net of hedging gains.
  • Q3 operating margin improvement reflected higher segment margins. Payments benefited from a higher take rate and lower transaction costs; Marketplaces cited operating leverage. Sales and marketing and product development expenses rose 17% and 22% in Q3, respectively, as eBay invested in marketing, platform development, mobile and offline initiatives.
  • The Q3 effective tax rate was 11.2%, versus 20.3%, primarily due to earnings in lower-tax jurisdictions and favorable discrete items. The nine-month rate was 15.8%, versus 15.3%.
  • Management said available cash, expected operating cash flow, credit facilities, commercial paper capacity and access to capital markets should fund operations, anticipated capital expenditures, Bill Me Later receivables and repurchases for the foreseeable future. No specific earnings or revenue guidance was provided in the filing.

Outlook, risks, contingencies and unusual items

  • In May 2012, eBay sold Rent.com for approximately $145 million and recorded a $118 million gain. The prior-year nine-month period included a $256 million loss on divested GSI businesses; these items affect period comparisons.
  • Beginning November 1, 2012, PayPal planned to hold U.S. customer balances as direct claims against PayPal rather than as agent or custodian. Approximately $3 billion of balances then reported off balance sheet would be recorded prospectively as assets with an offsetting liability. The change followed a California regulator’s liquidity interpretation and could remove pass-through FDIC insurance for those balances; management did not expect any resulting revenue reduction to be material.
  • GSI’s technology-platform migration faced delays, with certain client migrations pushed into 2013 and beyond. Further delays, service failures or client departures could impair GSI revenue and lead to contractual penalties.
  • Key risks include payments regulation and licensing, reliance on bank and payment-processing partners, Bill Me Later credit losses and funding needs, fraud and service disruptions, foreign exchange exposure, competition, privacy and cybersecurity, and legal claims relating to intellectual property and third-party listings. The filing describes ongoing trademark and counterfeit-goods litigation, including French proceedings and the L’Oréal matter; reasonably possible direct monetary losses beyond accruals were generally assessed as not material, but potential non-monetary effects could not be estimated.
  • Bill Me Later carried approximately $12 billion of unused customer credit lines, subject to periodic review and termination by the issuing bank; eBay bears loss risk on receivables it purchases. Its loans were funded using cash resources and borrowings.
  • eBay reported no off-balance-sheet arrangements expected to have a material effect on financial condition or results, apart from disclosed customer funds and cash-pooling arrangements. Approximately $7 billion of cash and investments were held outside the U.S.; repatriation could result in additional U.S. taxes in certain circumstances.

Important facts for investors to verify

  • Whether growth and margin trends continued, particularly Payments growth and Marketplaces performance, while accounting for currency effects and GSI’s differing comparison periods.
  • Whether operating cash generation supports investment and repurchases after capital expenditures, and how the higher debt balance affects interest expense and capital allocation.
  • Bill Me Later portfolio quality, charge-offs, allowance adequacy and funding requirements as receivables grow.
  • The balance-sheet and customer-protection effects of PayPal’s November 2012 change in treatment of U.S. customer balances.
  • Progress and cost of GSI’s platform migration, and developments in material intellectual-property, regulatory, tax and other legal matters.
