Material changes and operating trends
- Sales fell 6% year over year, including $3.1 million of unfavorable currency translation; excluding that effect, sales declined 4%. Management attributed the decline mainly to continued softness in semiconductor capital spending and mixed industry demand. Unit-driven product sales declined 4%, and capital-driven sales declined 9%.
- Lower sales and less favorable product mix reduced gross margin by 2.8 percentage points. SG&A fell 7%, while research and development expense rose slightly.
- Segment results were mixed: Contamination Control Solutions sales fell 10% and segment profit fell 31%; Microenvironments sales rose 8% and segment profit increased to $9.3 million from $5.5 million; Specialty Materials sales fell 11% and segment profit fell 53%.
- Effective tax rate was 24.1%, versus 33.7%, including a $1.3 million benefit from retroactive reinstatement of the U.S. research credit. Foreign currency translation reduced other comprehensive income by $11.6 million.
- Cash from operations improved year over year, but receivables and inventories absorbed cash. Days sales outstanding increased to 57 days from 51 days at the start of the year. Q1 included $3.8 million of share repurchases.
Outlook, commentary, and risks
- Management forecast 2013 capital expenditures of approximately $60–$70 million, including about $40 million to complete the 450mm technology center and advanced membrane and coatings facility. Capital spending was subject to an $85 million annual limit under the revolving credit facility.
- Management believed available cash, credit facilities, and operating cash flow would meet working-capital and investment needs for at least the next 12 months. Approximately $300 million of foreign-subsidiary earnings was considered indefinitely reinvested; $132 million of cash was associated with those earnings.
- On April 1, 2013, after quarter-end, Entegris acquired substantially all assets and liabilities of Jetalon Solutions for $13.4 million cash plus contingent earnout consideration tied to performance in 2013–2015. The filing states this was not a material business combination.
- Key exposures include semiconductor-industry cyclicality, demand and product mix, pricing and manufacturing costs, foreign exchange, and interest rates. Management estimated that a 100-basis-point interest-rate change could affect annual net income by approximately $2.1 million. The filing cites ordinary-course legal matters and states their outcomes were not expected to materially adversely affect the financial statements.
- These are management expectations, not guarantees. The filing provides no specific revenue or earnings guidance.
Important facts for investors to verify
- Whether semiconductor demand, especially capital-driven demand and CCS sales, recovered after the quarter, and how product mix affected margins.
- Whether receivables and inventory converted to cash and whether operating cash flow kept pace with planned capital expenditures.
- Actual 2013 capital spending against the $60–$70 million outlook and the facility’s $85 million covenant limit.
- Jetalon’s final contingent consideration and subsequent contribution to results; the filing does not provide a clear earnout amount.
- How currency movements, the research-credit tax benefit, and repurchases affected subsequent-period earnings and cash.
