Cash flow and liquidity: For the first nine months, operating cash flow was $64.1 million versus $87.5 million a year earlier. Investing used $80.6 million, including $69.5 million for the Ipanema acquisition and $11.1 million of capital expenditures; financing used $63.2 million, including $31.0 million of debt repayments and $25.0 million of share repurchases. Cash declined $80.3 million to $166.6 million from June 30, 2021. At March 31, cash was $166.6 million, accounts receivable $163.0 million, and available revolving credit $60.2 million. Management said these resources and expected operating cash flows should fund planned operations for at least 12 months.
Debt and balance sheet: Debt principal was $315.8 million ($310.5 million net of unamortized issuance costs), down from $346.8 million at June 30, 2021. The term loan had a 2.07% interest rate; $200 million was covered by interest-rate swaps. No revolving borrowings were outstanding. Current assets were $446.9 million and current liabilities $457.8 million. Total assets were $1.025 billion and stockholders’ equity $99.3 million.
Material changes and management commentary
- Q3 revenue rose 12.7% year over year; first-nine-month revenue rose 14.1%. Management attributed product growth to stronger demand and comparison with COVID-affected prior-year demand; subscription growth reflected recurring business and Ipanema.
- Profitability improved, but gross margin fell 2.2 percentage points in Q3 and 1.0 point for the nine-month period. Management cited higher product and distribution costs, particularly freight costs amid supply constraints; service margins were partly offset by higher professional fees and cloud-service costs.
- Operating cash flow fell year over year, with cash uses including acquisition spending, debt repayment and buybacks. Q3 and nine-month interest expense declined, primarily due to lower average debt balances and rates.
- Extreme acquired Ipanema, a cloud-native SD-WAN business, in September 2021 for net consideration of $70.9 million. The acquisition added $69.0 million of goodwill in the preliminary allocation and generated $2.8 million of Q3 and $6.5 million of nine-month acquisition and integration costs.
Outlook, risks and contingencies
The filing provides no specific numerical revenue or earnings guidance. Management highlighted persistent supply-chain constraints, semiconductor shortages, higher component and freight costs, and a backlog that may include orders customers could cancel. The company had $70.4 million of inventory purchase commitments expected to be honored within 12 months. It also identified exposure to inflation, rising rates, international markets, distributor credit, competition, cybersecurity and the Russia-Ukraine conflict.
Revenue is concentrated among distributors: TD Synnex, Jenne and Westcon represented 17%, 20% and 25% of Q3 revenue, respectively. The Netherlands represented 18% of Q3 revenue. Legal matters include patent disputes in Germany and a copyright suit in the United States; the company reported a final judgment in its favor in the Vivato matter, subject to a potential appeal. The Orckit and Mala proceedings remained ongoing. The company reported $19.1 million of unrecognized tax benefits and valuation allowances against all U.S. federal and state deferred tax assets and some Irish deferred tax assets.
Important facts for investors to verify
- Whether supply availability, backlog conversion, freight and component costs materially affect future shipments and gross margins.
- Whether operating cash generation can sustain acquisition integration, debt service, buybacks and working-capital needs; review the $70.4 million inventory commitments and $315.8 million debt principal.
- Whether distributor and geographic revenue concentration, including the named channel partners and the Netherlands, changes materially.
- Developments in the Ipanema purchase-price allocation and integration, and in the disclosed patent and copyright litigation.
- Whether management’s 12-month liquidity assessment remains supportable; it is an expectation, not a guarantee.
