FY2019 net income included a $13.6 million income tax benefit, largely reflecting release of a valuation allowance on Israeli deferred tax assets. Cash and cash equivalents alone were $74.8 million; restricted cash was $27.2 million. Financing cash outflow of $28.9 million included the first cash dividend, $24.9 million, or $0.45 per share. The company reported an accumulated deficit of $671.4 million.

Changes versus FY2018

  • Revenue declined 1.1%. Fixed Networks revenue fell 11.7% to $127.3 million, mainly after completion of a Colombian government project; Mobility Solutions grew 7.7% to $104.7 million, and Terrestrial Infrastructure Projects grew 26.2% to $31.6 million.
  • Gross margin rose to 36.4%, helped by better Fixed Networks mix, reversal of a prior Colombia vendor accrual and lower inventory write-offs. Mobility Solutions margin eased to 49.1% from 50.6%; Terrestrial Infrastructure Projects remained loss-making at a gross loss of $2.8 million, an improvement from $5.6 million.
  • Operating expenses decreased 3.4% to $70.3 million. Lower R&D and selling costs were partly offset by higher G&A, including stock-based compensation, severance and bad-debt costs.
  • Net income nearly doubled, but the improvement was substantially influenced by the larger deferred tax benefit. Operating cash flow increased to $34.8 million; total cash including restricted cash declined $2.2 million.

Outlook, risks and unusual items

  • Merger: On January 29, 2020, Gilat agreed to be acquired by Comtech for $7.18 in cash plus 0.08425 Comtech share per Gilat share, subject to closing conditions. The stated implied value was approximately $10.25 per Gilat share at signing and had since declined. Closing was then expected in Q2 or Q3 2020; the merger had no financing condition. Shareholder litigation could delay or prevent completion, and a $21.675 million termination fee could apply in specified circumstances.
  • COVID-19: Management reported postponed orders, suspended customer decisions and disruption to aviation, fieldwork, supply chains and project delivery. It expected a loss for Q1 2020, had begun expense and headcount reductions, and said the full financial impact could not yet be estimated. The filing treated the potential subsequent asset-value effects as a non-adjusting event at December 31, 2019.
  • Customer and project concentration: A U.S. system integrator, an aviation service provider and PRONATEL represented approximately 12%, 11% and 16% of FY2019 revenue. PRONATEL projects were delayed and require substantial guarantees and cash investment. Three 2015 project construction phases were accepted in 2019; remaining work and schedules remained execution risks.
  • Guarantees and commitments: Outstanding bank guarantees and surety bonds were approximately $106.0 million, including $102.7 million for Peruvian subsidiaries, supported by $27.2 million of restricted cash and pledged assets. Contractual cash obligations totaled $51.1 million, including $24.9 million of inventory purchase commitments.
  • Legal matters: A Brazilian tax claim against an inactive subsidiary totaled approximately $8.7 million including interest, penalties and fees; management said further recovery from other group entities was considered remote based on counsel. A Peruvian subsidiary was pursuing enforcement of a $13.5 million arbitration award, with proceedings expected to take five years or more; additional related arbitration was initiated. The filing also describes a challenge to the award of two PRONATEL projects, which management assessed as having remote prospects of success.
  • Other exposures: Risks include reliance on a limited number of customers and suppliers, competition from terrestrial and next-generation satellite networks, government project delays or termination, foreign exchange and tax exposures, and execution of large fixed-price contracts. Management reported effective disclosure controls and internal control over financial reporting; the auditor issued unqualified opinions on both the financial statements and internal controls.

Investor verification checklist

  • Confirm the merger’s subsequent status, final consideration value, closing conditions, litigation developments and any termination-fee exposure.
  • Assess COVID-related order cancellations, Q1 2020 losses, cost reductions, supply-chain disruption and any later impairment or working-capital effects.
  • Track PRONATEL project completion, revised schedules, profitability, collections, guarantee requirements and the pending bid challenge.
  • Reconcile reported net-income growth with the deferred tax benefit and test the realizability of deferred tax assets.
  • Review customer concentration, receivables and contract assets, restricted cash availability, guarantee collateral and remaining debt maturities.
  • Confirm the outcome and collectability of the Peruvian arbitration award and developments in the Brazilian tax claim.
