Revenue fell 13.6%. Hardware revenue declined 15.9% to $42.864 million; Software revenue rose 22.7% to $3.799 million, including 43.8% growth in recurring software revenue. Lower hardware orders and a low opening backlog drove the overall decline. Gross margin contracted 3.9 percentage points, reflecting lower volume and higher product costs. SG&A rose 8.8% to $24.621 million and R&D rose to $8.127 million.

The operating loss narrowed partly because FY2022 included a $13.162 million non-cash goodwill impairment charge; there was no goodwill impairment in FY2023. Net loss nevertheless increased, primarily as income tax expense rose to $7.400 million, including a $7.373 million non-cash charge to establish a full valuation allowance against deferred tax assets.

At September 30, 2023, cash and cash equivalents were $8.665 million, short-term marketable securities $1.481 million, and restricted cash $0.854 million. Working capital was $13.949 million, down from $20.197 million. The company reported no outstanding borrowings; its $10 million revolving credit line expired in March 2023 and was not renewed. Operating lease liabilities totaled $5.291 million. Management said available capital was expected to fund planned operations for at least 12 months, while cautioning that additional financing might be required if conditions change.

Material changes and unusual items

  • Order backlog deliverable within 12 months declined to approximately $7.0 million from $21.7 million.
  • One customer represented 54% of FY2023 revenue, compared with 68% in FY2022. Direct and indirect U.S. government sales were approximately 59% of FY2023 net sales, versus 71% in FY2022.
  • Operating cash use shifted to $9.593 million from $0.468 million provided in FY2022. The company cited, among other factors, a $6.064 million decrease in accrued and other liabilities.
  • After year-end, on October 4, 2023, Genasys issued 5.75 million shares at $2.00 per share, generating $11.5 million gross proceeds and approximately $10.585 million after stated offering costs.
  • Also on October 4, 2023, Genasys acquired Evertel for 986,486 shares and $0.807 million cash as partial payment; additional purchase consideration is subject to performance criteria and customary adjustments. Acquisition accounting was still being determined.

Outlook, risks, and contingencies

Management gave no numerical FY2024 revenue or earnings guidance. It plans to pursue government, military, public-safety, and enterprise opportunities; expand the Genasys Protect software platform; obtain certifications needed for some bids; and invest in product development. The company cited long government sales cycles and uneven budget approvals. It also noted inflation in supplier, logistics, labor, and overhead costs, with possible pressure on future margins if price increases cannot offset those costs.

Principal risks include customer and government-sales concentration, reduced backlog, unpredictable order timing, competitive pricing and margin pressure, reliance on a sole supplier for LRAD compression drivers, broader supply-chain disruption, acquisition integration and execution, and the possibility of needing additional capital. The filing also identifies cyber and data-security exposure, product liability and warranty risk, geopolitical and foreign-exchange risks, and potential limits on use of tax-loss carryforwards. The company disclosed a five-year maintenance agreement with a foreign military customer through May 2024 whose service costs could exceed its fixed revenue. Ordinary-course litigation is possible; the filing does not identify a specific material pending legal proceeding.

Management reported effective disclosure controls and internal control over financial reporting as of September 30, 2023. The independent auditor issued an unqualified opinion on the financial statements and reported no critical audit matters; it did not audit internal control effectiveness.

Important facts for investors to verify

  • Whether backlog and new orders recover, and how the decline in backlog affects near-term hardware revenue and cash generation.
  • Whether recurring software growth continues and translates into improved segment economics and consolidated margins.
  • The identity and ongoing purchasing commitments of the customer accounting for 54% of revenue, and the pace of customer diversification.
  • Use of the October 2023 offering proceeds, post-offering share dilution, and the final consideration and integration results for Evertel.
  • Cash burn, working-capital needs, and the assumptions behind management’s at-least-12-month liquidity assessment.
  • Progress in qualifying alternative LRAD compression-driver suppliers and exposure to supplier cost or delivery disruptions.
