Hub Group, Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual filing, not a standalone fourth-quarter report. Hub Group provides intermodal transportation and logistics services. Beginning in 2023, it reported two segments: Intermodal and Transportation Solutions (ITS) and Logistics; prior periods were recast to match.

All share and per-share amounts in the filing reflect the January 2024 two-for-one stock split. Purchased transportation and warehousing costs were $3.15 billion, or 74.8% of revenue, compared with 75.6% in 2022. Salaries and benefits rose to 13.2% of revenue from 10.2%, contributing to margin pressure. Interest expense was $13.4 million, partly offset by $10.0 million of interest income. The effective tax rate fell to 19.9% from 23.7%.
Segment results
- ITS: Revenue fell 25% to $2.50 billion; operating income fell to $107.1 million from $348.5 million, and segment operating margin was 4% versus 11%. Intermodal volume and revenue per load each declined 14%. Dedicated revenue also declined 4%.
- Logistics: Revenue fell 14% to $1.82 billion; operating income declined to $105.1 million from $126.2 million. Operating margin held at 6%. Lower brokerage revenue per load and lower managed transportation and final-mile revenue were partly offset by fulfillment growth.
Liquidity, debt and capital allocation
Cash and cash equivalents were $187.3 million at year-end, down from $286.6 million; restricted investments were $20.8 million. Equipment-note debt totaled $350.7 million, including $105.1 million current and $245.6 million long-term. Hub had no borrowings under its $350 million credit facility and reported $349.1 million of unused availability; it was in compliance with financial covenants. Operating and finance lease liabilities totaled $224.8 million.
Investing cash outflow was $373.2 million, including $260.8 million for the Forward Air Final Mile acquisition and $140.1 million of capital expenditures, partly offset by equipment-sale proceeds. Financing cash outflow was $148.4 million, including $143.8 million of treasury-stock purchases and $105.8 million of debt repayments, partly offset by $114.0 million of new debt. The board authorized a new $250 million repurchase program in October 2023. A quarterly dividend of $0.125 per share was declared in February 2024, subject to board discretion and applicable restrictions.
Material changes and unusual items
- Revenue and earnings declined substantially from 2022, when favorable demand and pricing supported results. In 2023, lower intermodal demand, lower rates and an oversupply of truckload capacity weighed on ITS.
- Hub acquired Forward Air Final Mile on December 20, 2023, for approximately $261 million in cash. Its reported contribution was limited to the period after acquisition: $6.4 million of revenue and $0.2 million of operating income. Purchase accounting remains preliminary, including the allocation of acquired assets and liabilities.
- Drayage provided by Hub’s own fleet increased to 78% from 55%, helping reduce third-party drayage costs. Net equipment-sale gains fell to $6.8 million from $24.2 million; management expects lower gains in 2024 given a softer used-tractor market.
- The filing reports no material unrecorded loss contingencies expected from pending litigation, while cautioning that actual outcomes for a particular period could be material. Auto and workers’ compensation claim accruals were $39.1 million and were identified as a critical audit matter.
Outlook, commentary and principal risks
Hub forecast 2024 capital expenditures of $55 million to $75 million, funded with a combination of cash and debt. It did not provide specific 2024 revenue or earnings guidance. Management identified possible upside from truckload-capacity exits, retailer restocking, a return to typical peak-season demand and a stronger used-tractor market. Potential headwinds include inflation, weaker consumer goods spending, elevated retailer inventories, customer credit risk, excess transportation capacity, aggressive competitor pricing and inability to pass cost increases to customers.
Key exposures include reliance on intermodal services (59% of 2023 revenue), major railroads and a concentrated customer base: the ten largest customers generated approximately 42% of revenue, and one customer represented 13%. Other risks include driver and vendor capacity, transportation and warehouse cost changes, fuel and weather disruptions, acquisitions and integration, independent-contractor classification, litigation and insurance claims, regulation and cybersecurity. Hub reported no significant information-security breach in the three years before filing. Management and the auditor concluded internal control over financial reporting was effective, but the assessment excluded Forward Air Final Mile while integration continues. The auditor issued unqualified opinions on the financial statements and internal controls.
Important facts for investors to verify
- Whether intermodal volumes, revenue per load and ITS margins stabilize after the sharp FY2023 decline.
- Whether Logistics can sustain its 6% operating margin and realize planned growth from final-mile and fulfillment services.
- Final purchase accounting, integration progress and returns on the Forward Air Final Mile acquisition.
- 2024 capital spending, debt service, cash generation and the pace of share repurchases and dividends.
- Exposure to the largest customer, key railroads, claims reserves and the excluded acquired-business controls as integration proceeds.
