Changes versus prior period

  • Q2 revenue rose 3% year over year, but excluding the $9.0m Nufront patent sale, revenue declined about $7.0m. First-half revenue fell 5%; excluding the patent sale, it fell $16.1m.
  • Lower per-unit royalties were the principal revenue headwind: down $7.6m in Q2 and $12.5m in the first half, mainly reflecting lower licensee shipments. First-half technology-solutions revenue also declined $1.5m.
  • Operating expenses increased 35% in Q2 and 28% in the first half, largely because of higher intellectual-property enforcement and litigation costs ($8.9m in Q2; $17.0m in the first half), personnel costs, and patent amortization. Consequently, operating income and net income fell substantially.
  • First-half operating cash outflow increased by $10.1m year over year. Cash and investments decreased in part because of $77.7m of share repurchases, $41.3m of operating cash use, $28.9m of patent and capital investments, and $9.0m of dividends.

Outlook, commentary, and risks

  • Intel patent sale: A definitive agreement signed in June covers approximately 1,700 patents and applications for $375.0m. It had not closed by June 30; closing was expected in Q3 2012, subject to customary conditions and regulatory approvals. Management expected nearly $250m in after-tax cash and a significant portion of gross proceeds to be recorded as revenue at closing. Proceeds were intended for the repurchase program and general corporate purposes.
  • Repurchases: The 2009 $100m program was completed in May. The 2012 program was expanded to $200m; $2.7m had been spent by June 30, and cumulative spending reached $23.8m through July 23. The company repurchased 2.4m shares for $77.7m in the first half.
  • Contingency: A technology-solutions royalty arbitration remained unresolved. The company deferred $36.5m of related revenue pending a decision expected in late 2012. The amount had been collected or recorded as receivable.
  • Licensing exposure: Samsung represented 36% of first-half revenue; its 3G license agreement expires at year-end 2012. Research In Motion represented 15%; its 2G/3G agreement also expires at year-end. Four licensees accounted for 98% of accounts receivable at June 30.
  • Legal matters: InterDigital faced multiple patent and FRAND-related disputes, including Huawei proceedings in China and a complaint to the European Commission, LG arbitration, and a USITC investigation involving Nokia, Huawei, and ZTE. The USITC hearing was scheduled for October–November 2012, with a target completion date of June 2013. The Delaware Chancery case brought by Huawei was dismissed without prejudice. Outcomes and financial impacts were uncertain.
  • Management stated that available liquidity was expected to fund operations, capital needs, debt obligations, repurchases, and dividends for the next 12 months. The filing reported no material change in market-risk disclosures; management considered disclosure controls effective and reported no material quarterly change in internal controls over financial reporting.
