Net margin was approximately 15.8%, versus 29.7% a year earlier. Revenue comprised $68.6 million of patent licensing royalties and $0.7 million of technology-solutions revenue. Per-unit royalties declined 13% to $34.4 million; fixed-fee amortized royalties declined 4% to $33.7 million. Past-sales royalties were $0.5 million, compared with $2.3 million.

Liquidity and debt: Cash and cash equivalents were $268.6 million and short-term investments were $347.4 million, totaling $616.0 million, down $62.0 million from year-end. Current assets were $705.8 million versus current liabilities of $141.6 million. The company reported $194.4 million of net carrying-value long-term debt, representing $230.0 million principal of 2.50% convertible notes due 2016. The notes’ reported fair value was $230.9 million. Management said available funds and expected operating cash generation should cover operations, capital requirements, debt obligations, and existing repurchase and dividend programs for the next 12 months.

Investing activities used $19.6 million, including $8.6 million of capitalized patent costs. Financing activities used $28.3 million, including $25.3 million for share repurchases and $4.6 million of dividends paid. The quarterly dividend declared was $0.10 per share. The company repurchased 0.7 million shares during the quarter; further repurchases of $24.7 million were made through April 25.

Material changes and management commentary

  • Revenue fell mainly because per-unit royalties from Japanese licensees declined with lower shipments, fixed-fee royalties decreased following a license transition, and past-sales royalties were lower.
  • Operating expenses rose $8.8 million, primarily due to an $8.2 million increase in intellectual-property enforcement and non-patent litigation costs, including the USITC action initiated in 2011. Lower long-term compensation accruals partly offset the increase.
  • Other expense increased, principally reflecting $3.7 million of interest expense on the convertible notes; investment income partly offset the expense.
  • Operating cash use reflected $27.2 million of receipts from patent licensing and technology-solutions agreements, offset by operating costs and incentive-compensation payments. The company recognized $56.9 million of deferred revenue and added $17.7 million during the quarter.
  • Deferred revenue totaled approximately $248.9 million at quarter-end. InterDigital said fixed-fee amortization was expected to reduce this balance by $108.2 million over the next 12 months; further reductions depend partly on reported royalties and the outcome of arbitration.

Risks, contingencies, and outlook

  • Technology-solutions arbitration: A dispute over royalty obligations and license scope was scheduled for a late-June 2012 hearing. The company had deferred $33.1 million of related revenue pending resolution; timing and outcome were uncertain.
  • Huawei litigation: Huawei pursued U.S. proceedings alleging InterDigital failed to offer FRAND terms, and Chinese proceedings alleging anticompetitive conduct and seeking a FRAND rate for Chinese essential patents. The Chinese complaint sought 20 million RMB, approximately $3.2 million, in one claim. The Delaware District Court denied Huawei’s and ZTE’s request to partially lift a stay of related counterclaims.
  • USITC patent-enforcement action: InterDigital’s case against Nokia, Huawei, ZTE, and LG alleged infringement of U.S. patents by wireless devices. Trial was scheduled for October–November 2012, with completion targeted for June 2013. The parallel Delaware case was stayed. Outcomes, including any exclusion orders, were uncertain.
  • Other litigation: Nokia appealed an order entitling InterDigital to recover a $500,000 injunction bond; collection was stayed pending appeal, and oral argument occurred in April 2012. A separate prior Nokia USITC appeal remained undecided.
  • Revenue and receivables were concentrated: Samsung, Research In Motion, and HTC accounted for 37%, 17%, and 11% of Q1 2012 revenue, respectively; three licensees represented 99% of net receivables. Management highlighted litigation and arbitration outcomes, licensing revenues, and liquidity as matters affecting forward results. Interim results were not necessarily indicative of full-year performance.

Investor verification priorities

  1. Track the technology-solutions arbitration and whether the $33.1 million deferred amount is ultimately recognized, adjusted, or remains deferred.
  2. Assess the trajectory of royalty revenue, particularly per-unit shipments, major-licensee concentration, and the timing of past-sales agreements.
  3. Monitor patent-enforcement and FRAND litigation outcomes, schedules, legal costs, and potential effects on licensing or exclusionary remedies.
  4. Reconcile cash and short-term investment trends with operating cash generation, patent spending, buybacks, dividends, and the 2016 convertible-note obligations.
  5. Review the sustainability of margins given lower revenue and higher intellectual-property enforcement costs.
