Balance sheet and liquidity
- Cash and cash equivalents were $19.0 million at March 31, 2024, up from $13.8 million at year-end. Of the quarter-end balance, $8.1 million was held abroad and $10.9 million in the United States; the company intends to indefinitely reinvest foreign funds.
- Working capital was $11.6 million, versus $9.1 million at December 31, 2023. Current assets were $36.9 million and current liabilities $25.3 million.
- Total liabilities were $36.7 million. Long-term obligations were $8.1 million, including accrued pension liability of $7.3 million and Microsoft license obligations; $1.2 million was current. Operating lease liabilities totaled $5.3 million.
- The company had no borrowings under its secured revolving credit facility through the filing date. The facility has a $10 million maximum, a March 2024 borrowing base of approximately $9.2 million, a maturity date of April 4, 2026, and a fixed-charge coverage covenant requiring at least 1.10 to 1.00 by December 31, 2024.
- Cash increased by $5.2 million during the quarter. Investing activities used $1.3 million and financing activities used $0.3 million.
Changes, outlook and management commentary
- Revenue growth was led by DDS, where higher activity from two new customers more than offset lower volume from an existing customer. One DDS customer accounted for approximately 24% of total Q1 2024 revenue.
- Management attributed improved gross margin and profitability to revenue growth and cost efficiencies, especially in Synodex and Agility. Direct operating costs rose 31%, primarily from hiring and salary increases to support new DDS customer work.
- Management said existing cash and internally generated funds should cover financial needs for at least 12 months from the filing date. It anticipated approximately $6.0 million of capital expenditures over the next 12 months. No specific revenue or earnings guidance was provided.
- Management cited project start-up delays, customer reductions or cancellations, difficulty replacing completed work, customer concentration, competition, technology and cybersecurity risks, foreign-exchange exposure, Asian wage inflation, and geopolitical developments as risks. Results may also fluctuate seasonally; Synodex revenue is typically lowest in Q3 and highest in Q4.
- Revenue from non-U.S. customers was 33% of total, down from 39%. Direct operating costs included foreign-exchange losses of approximately $0.1 million, compared with $0.3 million in Q1 2023.
Contingencies and other notable items
- A securities class action filed in February 2024 alleges misleading statements about the company’s AI technology and services. Damages sought are unspecified; the company says it cannot predict the outcome.
- A legacy Philippine employment judgment could involve approximately $5.8 million plus interest. A U.S. preliminary injunction remains in effect; the filing says a substantial recovery could materially affect the company.
- Separately, the company reported that India’s CESTAT ruled in its favor in January 2024 in a service-tax classification dispute. An adverse result if appealed could expose historical revenue of approximately $56 million to service tax, interest and penalties; no liability was recorded. A separate contested refund matter includes approximately $0.8 million of service-tax credits recorded as a receivable.
- Management stated that adverse outcomes of approximately $450,000 beyond recorded legal accruals were reasonably possible in aggregate. Unrecognized tax benefits were $2.0 million and, if recognized, would materially affect the effective tax rate.
- Disclosure controls and procedures were assessed as effective as of March 31, 2024; no material change in internal control over financial reporting was reported for the quarter.
Important facts for investors to verify

- Progress toward the $6.0 million anticipated capital-spending program and the revolving-credit facility’s fixed-charge coverage covenant.
- Developments in the securities class action, Philippine judgment and Indian tax matters, including any change in potential exposure or recorded accruals.
- How the company’s non-GAAP adjusted gross profit and adjusted EBITDA reconciliations compare with GAAP results and with other companies’ measures.
