Material changes and unusual items

  • The 2010 comparison was restated for premature recognition of German national ID reader revenue. Q3 and nine-month 2010 revenue was reduced by approximately $2.8 million, cost of revenue by $1.6 million, and gross profit and net income by $1.2 million; 2010 loss per share increased by $0.03. The restatement did not affect total net cash used in operating activities.
  • Acquisitions included idOnDemand in May 2011 and polyright in July 2011. The company recorded $10.5 million of acquisition-related goodwill during the nine months. idOnDemand contributed $0.363 million revenue and a $1.546 million net loss from acquisition date through September 30; polyright contributed $1.403 million revenue and a $0.295 million net loss.
  • Identive raised approximately $18.2 million net in a May public offering of 7.84 million shares. Shares issued and outstanding increased to 58.232 million from 48.276 million at year-end 2010; 57.614 million shares were outstanding at November 7, excluding treasury shares.
  • Foreign currency losses were $0.622 million in Q3 and $0.398 million for the nine months. The nine-month tax benefit of $1.550 million primarily reflected release of a valuation allowance following the idOnDemand acquisition.

Outlook, commentary and risks

Management expected existing capital resources, anticipated operating cash flows, cost savings and available borrowings to fund operations and capital needs for at least the next 12 months. That expectation is conditional on achieving assumed revenue, expense and savings levels; additional debt or equity financing might be needed otherwise, with potential dilution and no assurance of availability on acceptable terms.

Management cited U.S. government project delays and budget constraints affecting Hirsch, variable demand and seasonal government purchasing patterns, component supply and customer-demand uncertainty, acquisition integration and cost-reduction execution, and foreign-exchange movements. It expected remaining original German electronic ID reader orders to ship through Q4 2011 and anticipated completing RFID production-capacity expansion by year-end. No material change in disclosed risk factors or market-risk exposure was reported. Ordinary-course legal claims were not expected by management to have a material adverse effect.

Investor verification priorities

  • Confirm the extent to which reported growth and margins are sustainable organically, apart from acquisitions and German ID program shipments.
  • Track execution and integration of idOnDemand and polyright, including acquired-business losses, provisional purchase accounting and contingent earn-outs.
  • Assess cash burn, working-capital needs, purchase commitments and the assumptions underlying management’s 12-month liquidity outlook.
  • Review share dilution from the offering, outstanding warrants, equity plans and potential acquisition earn-out shares.
  • Monitor U.S. government spending and project timing, RFID demand and capacity expansion, and the effect of currency and product mix on margins.
