Q3 GAAP operating margin was 9.8%, compared with 1.6% a year earlier. For the nine-month period it was 5.0%, compared with a 1.5% operating loss margin in 2022. Non-GAAP measures are management-defined supplemental measures, not substitutes for GAAP results.
- Cash flow: Nine-month operating cash flow was $77.1 million, versus $37.5 million; capital expenditures were $18.3 million, producing reported non-GAAP free cash flow of $58.8 million, versus $22.6 million. Q3 operating cash flow was $34.1 million and free cash flow was $28.3 million.
- Cash and liquidity: Cash and equivalents were $254.8 million at September 30, 2023, up from $202.0 million at December 31, 2022. Current assets were $1,009.7 million and current liabilities $555.9 million. Management said cash, operating cash flows and capital-market access should be sufficient for operations and commitments for at least 12 months and into the foreseeable future.
- Debt: $460.0 million principal amount of 0% convertible notes, due March 2026, was outstanding; carrying value, net of fees, was $454.2 million. No revolver loans were outstanding. The $500 million revolver had $438.4 million available after letters of credit, and the company reported compliance with its debt covenants.
Material changes and operating drivers
- Revenue rose 33% in Q3 and 20% for the first nine months. Networked Solutions was the largest contributor: revenue increased 43% in Q3 and 29% year to date, driven by deployment growth and improved component supply. Nine-month Device Solutions revenue was nearly flat, while Outcomes revenue increased 14%.
- Gross margin improved in both comparison periods. Management attributed the increase mainly to product and solutions mix and operational efficiencies; Device Solutions also cited improved product mix and efficiencies. Outcomes’ Q3 margin declined to 38.6% from 41.0%, attributed to solution mix and variable compensation.
- Operating expenses rose 17% in Q3, primarily from higher labor and variable compensation in SG&A and R&D. Nine-month expenses rose 9%; the comparison includes $36.9 million of 2023 restructuring expense, partly offset by the $38.5 million goodwill impairment recorded in 2022 and lower intangible amortization.
- Interest income increased, supporting improved total other income/expense. The nine-month tax provision was $24.5 million, versus $5.0 million; the reported 2023 effective tax rate was 31%, affected by jurisdictional earnings mix, valuation allowances, foreign-income taxes, stock compensation and other items.
Outlook, risks and unusual items
- Demand and forward indicators: Total backlog was $4.34 billion at quarter-end, including $2.02 billion expected for deployment over the next 12 months. Remaining performance obligations were approximately $1.9 billion for the next 12 months and $1.5 billion thereafter. These measures are not equivalent; the company cautions that timing may shift and backlog is not a complete measure of future revenue. The filing provides no clear full-year revenue or EPS guidance.
- Restructuring: The 2023 plan is expected to be substantially complete by early 2025, with estimated total pre-tax costs of $45.6 million and estimated annualized savings of $14–17 million after completion. The company had accrued $66.4 million for its 2020, 2021 and 2023 restructuring projects at September 30, including $15.7 million expected to be paid within 12 months. Consultation with employee representatives and regulatory approvals may affect timing of savings.
- Debt amendment after quarter-end: On October 13, 2023, Itron amended its credit facility, extending maturity to October 18, 2026. Maturity may advance to December 14, 2025 if a sufficient portion of the convertible notes is not settled or extended, as specified in the amendment; the amendment also revised interest costs and commitment fees.
- Business risks: Semiconductor availability had improved from 2022 but continued to constrain the ability to serve demand. Inflation in components, raw materials, freight and labor may not be fully recovered through pricing. Customer project delivery delays can shift revenue between periods. Management cited global economic and geopolitical uncertainty, supply-chain disruption, foreign exchange exposure and execution of restructuring and cost-savings plans as risks.
- Contingencies and other items: The filing describes ordinary-course legal claims but provides no clear quantified material loss estimate. Itron reported $126.5 million of unrecognized tax benefits and said it could not estimate the reasonably possible range of changes over the next 12 months; it did not expect current tax examinations to have a material adverse effect. Standby letters of credit and surety bonds support customer and other obligations; management did not believe outstanding instruments would be called. No repurchases had been made under the $100 million authorization through November 2, 2023.
Important facts for investors to verify
- Whether Networked Solutions’ strong growth and improved gross margins persist as deployments ramp and component supply normalizes.
- Whether project delays, inflation and supply constraints affect backlog conversion, revenue timing or margins.
- Actual restructuring cash costs, completion timing and realization of the estimated $14–17 million annualized savings.
- The conditions attached to the revolver’s extended maturity and the company’s plan for the $460 million convertible notes due in 2026.
- The composition and sustainability of non-GAAP adjustments, cash-flow improvement and reported tax benefits or exposures.
