  • Nine-month cash flows: Operating activities provided $317.2m, compared with $198.7m in the prior-year period. Investing activities used $80.7m; financing activities used $505.0m. Cash declined by $292.6m, including a $24.0m unfavorable currency effect.
  • Capital returns: Share repurchases were $327.7m and cash dividends were $158.7m over the nine months. The company had $596.3m remaining under its $1.5bn repurchase authorization at December 31, 2022.
  • Working-capital indicators: Quarter-end DSO rose to 57 days from 47; DPO fell to 56 from 68; inventory turnover declined to 4.0x from 4.7x.

Changes versus comparable periods

  • Sales declined 22% in the quarter and 16% for the nine months; on a constant-currency basis, declines were 17% and 12%, respectively. Logitech attributed the weakness to lower demand, promotional activity and unfavorable currency movements. Sales declined across all product categories.
  • Quarterly category declines were particularly steep in PC Webcams (49%), Audio & Wearables (34%), and Mobile Speakers (32%). Gaming sales fell 16%; Video Collaboration fell 21%.
  • Gross margin declined 270 basis points in the quarter and 320 basis points for the nine months. Management cited currency, inflationary cost pressure and, for the quarter, higher promotions; lower expedited shipping costs partly offset the declines.
  • Operating expenses fell year over year, mainly due to reduced marketing and selling costs, but declined less than sales as a proportion of revenue for the nine-month period. Net income and diluted EPS were substantially lower in both comparison periods.
  • Other expense, net included a $21.4m pretax impairment of an equity-method investment during the nine months. This contributed to nine-month other expense of $18.4m, compared with $1.9m in the prior-year period.

Outlook, commentary, risks and unusual items

  • The filing provides no specific revenue or earnings guidance. Management said cash, projected operations and historical cash generation should provide sufficient liquidity for at least the next 12 months.
  • Management cited inflation, foreign-exchange volatility, higher interest rates, slower economic activity and lower consumer and enterprise spending as demand and cost risks. Supply-chain conditions and logistics costs had improved since Q2, but increased COVID-19 infections in China created uncertainty about supply availability. The war in Ukraine added supply-chain, logistics and inflation pressures.
  • A restructuring initiated in Q2 FY2023 is intended to realign business groups and engineering with the enterprise go-to-market strategy. Charges were $5.7m for the quarter and $16.5m for the nine months; $8.3m of related liabilities remained at December 31. The plan was expected to be substantially complete within nine months.
  • Non-cancelable inventory purchase commitments were $421.1m, mostly expected to be fulfilled within 12 months; a $43.2m liability was recorded for commitments exceeding anticipated demand or net realizable value. Capital expenditure purchase commitments were $29.7m.
  • Unrecognized tax benefits were $184.0m at December 31, and non-current income taxes payable, including interest and penalties, were $117.6m. The filing notes these estimates may change as tax matters are resolved.
  • Several ordinary-course claims and a small number of legal proceedings were pending. The company said it did not expect their resolution to materially adversely affect financial condition, cash flows or results, while noting litigation uncertainty.

Key facts for investors to verify

  • Whether demand and sales stabilize after broad year-over-year declines, particularly in webcams, audio and wearables, and video collaboration.
  • Whether gross margins recover as currency, promotional, inflation and shipping-cost effects change.
  • Inventory quality, channel inventory and sell-through, given lower inventory turnover, demand uncertainty and purchase commitments.
  • Cash generation and liquidity after repurchases and dividends, and any further use of the remaining repurchase authorization.
  • Restructuring execution and costs, the equity-investment impairment, and developments in uncertain tax positions.
  • Exposure to currency movements, China and Southeast Asia supply concentration, geopolitical conditions, and key sales-channel customers.
