LOGITECH INTERNATIONAL S.A. annual report, FY2015

Logitech International S.A. — FY2015 Form 10-K

Reporting period: Fiscal year ended March 31, 2015. The filing also reports the fourth quarter ended March 31, 2015. Amounts below are U.S. dollars unless noted.

Business context

Logitech designs and sells computer and mobile-device peripherals and Lifesize video-conferencing products and services. Retail peripherals generated 89% of FY2015 sales; OEM and video conferencing represented 6% and 5%, respectively. Management is shifting resources toward retail growth categories—including mobile speakers, gaming, video collaboration, and tablet accessories—and plans to exit OEM and refocus Lifesize on its cloud service.

Key financial results

MetricFY2015FY2014
Net sales$2,113.9 million$2,128.7 million
Gross profit / gross margin$774.2 million / 36.6%$727.9 million / 34.2%
Operating income$15.3 million$76.0 million

FY2015 operating expenses rose 16% to $758.9 million, principally reflecting a $122.7 million non-cash goodwill impairment and $23.7 million of expenses related to the Audit Committee’s independent investigation. Gross-margin improvement reflected cost reductions, product mix and the exit from non-strategic products.

Fourth quarter: Sales were $467.2 million versus $490.3 million in Q4 FY2014. Logitech recorded an operating loss of $114.2 million and net loss of $109.3 million, primarily due to the $122.7 million Lifesize goodwill impairment.

Liquidity, capital and debt

  • Cash and cash equivalents were $537.0 million at March 31, 2015, up from $469.4 million a year earlier; working capital was $557.1 million.
  • Current assets were $1,052.0 million and current liabilities $494.9 million, approximately 2.1x current coverage.
  • The filing reports no borrowing outstanding. Uncommitted, unsecured bank lines totaled $38.1 million; $5.1 million of bank guarantees were outstanding.
  • Financing cash outflow was $48.9 million, including $43.8 million of dividends. Management announced a plan for $250 million of cumulative dividends for FY2015–FY2017, subject to approvals.

Material changes and management outlook

  • Total sales declined 1% year over year. Retail sales grew 1% (4% in constant dollars), while OEM sales fell 17% and video-conferencing sales fell 10%.
  • Growth-category sales rose 25%, led by mobile speakers (+104%), video collaboration (+114%) and gaming (+13%). Tablet and other accessories declined 18%; profit-maximization categories declined 5%.
  • Americas retail sales rose 8%; EMEA declined 7%, including weakness in Russia and Ukraine; Asia Pacific rose 2%.
  • Lifesize Cloud was growing, but not enough to offset lower legacy infrastructure sales. Management expects Lifesize revenue to contract for several years, with a later break-even point and higher operating losses during the transition.
  • For FY2016, management expected restructuring charges of approximately $15–$20 million from the OEM exit, Lifesize reorganization and broader cost reductions. Expected savings are intended to offset currency headwinds and fund growth; the filing provides no specific revenue or earnings guidance.

Risks, contingencies and unusual items

  • The U.S. dollar’s strength adversely affected sales, earnings and cash flows; 44% of FY2015 sales were denominated in non-U.S. currencies. Further currency movements may affect results.
  • The SEC Enforcement Division investigation concerns historical inventory reserves, warranty and intangible-asset accounting, and distributor transactions. Logitech reported settlement discussions and an accrual, but said the timing and final outcome could not be predicted.
  • Logitech disclosed prior restatements and late filings, but management concluded previously identified material weaknesses had been remediated and internal control over financial reporting was effective as of March 31, 2015. KPMG’s report expressed an unqualified opinion on the FY2015 financial statements and controls.
  • Other risks include intense competition, declining PC-peripheral demand, product-transition and forecasting risks, supply-chain concentration in China and Southeast Asia, tax exposures, and potential further impairments. The video-conferencing unit’s goodwill was reduced to zero.

Important facts for investors to verify

  • Whether retail growth-category momentum can offset declining PC-related, OEM and legacy Lifesize sales, and whether Lifesize Cloud can scale as planned.
  • The underlying earnings trajectory excluding the $122.7 million impairment and investigation-related costs, alongside the durability of gross-margin gains.
  • Progress and cash costs of the planned $15–$20 million restructuring, OEM exit and Lifesize reorganization.
  • Developments in the SEC investigation, including the eventual settlement amount and any additional financial or control implications.
  • Effects of currency movements, inventory growth and the planned dividend program on cash generation and liquidity.
