Material changes versus the prior comparable period
- Annual sales declined 2%; operating income fell about 50% and net income about 44% year over year.
- Gross margin decreased 1.9 percentage points. Management attributed the decline mainly to higher manufacturing and distribution costs, a $34.1 million inventory valuation adjustment for Logitech Revue and related peripherals, and a shift toward lower-average-selling-price retail products.
- Retail sales declined 1% and average selling price fell 4%, although retail units increased 3%. OEM sales fell 17%. LifeSize sales grew 10% to $147.5 million, but the video-conferencing segment recorded a $7.4 million operating loss, versus $1.1 million of operating income in FY2011.
- Regional retail sales were mixed: Asia Pacific rose 18%, including 58% growth in China; Americas declined 9% and EMEA declined 2%. Digital Home sales fell 40% and Video sales fell 15%; keyboards and desktops rose 16%.
- Operating cash flow increased to $196.1 million from $156.7 million, while inventory rose to $297.1 million from $280.8 million and inventory turnover declined to 4.6x from 5.2x.
Outlook, commentary, risks and unusual items
Management did not provide numerical FY2013 revenue or earnings guidance in the supplied filing text. It described priorities including simplifying the product portfolio, launching differentiated products, pursuing tablet and mobile-device accessories, investing in emerging markets, and expanding enterprise and LifeSize offerings. On April 25, 2012, Logitech announced a restructuring expected to be completed in FY2013, with estimated pre-tax charges of $25–$40 million; anticipated savings and timing were not assured.
- Market risks include slower PC demand in mature markets, uncertain adoption of tablet peripherals, pricing pressure, intense competition, consumer-demand and product-mix changes, and foreign-exchange exposure. Approximately 45% of FY2012 sales were in currencies other than the U.S. dollar.
- Execution risks include forecasting and inventory management, product transitions, reliance on third-party platforms and distribution partners, and component sourcing and manufacturing concentration in China and Southeast Asia.
- Tax contingencies include $143.3 million of unrecognized tax benefits and related interest and penalties. The company was contesting IRS proposed adjustments for FY2006–FY2007 and was subject to other tax examinations; outcomes could adversely affect results.
- Legal matters include a securities class action and patent litigation with Universal Electronics. Logitech said it intended to defend the claims but could not estimate their financial effects.
- FY2012 other income included an $9.0 million gain on sale of unused buildings and a $6.1 million gain on sale of available-for-sale securities. These items increased reported income before taxes.
- Goodwill was $560.5 million. The December 2011 impairment test found estimated fair value above carrying value for both reporting units, but management warned adverse changes could result in a future non-cash impairment charge.
- The filing identifies a $5.7 million pre-tax Q4 FY2011 charge for sales-incentive allowances relating to FY2010 and earlier quarters; management assessed the errors as immaterial to the periods presented.
Important facts for investors to verify
- Whether FY2013 product simplification and restructuring deliver the expected cost reductions without weakening sales or product launches; verify the eventual charges against the $25–$40 million estimate.
- Whether gross margin and inventory performance recover after the Revue-related write-down and FY2012 mix and cost pressures.
- Whether growth in China, mobile accessories, enterprise sales and LifeSize can offset weakness in mature PC-peripheral categories.
- The resolution and potential cash or earnings impact of tax audits, the securities class action and the UEI patent disputes.
- Liquidity and capital allocation, including share repurchases, purchase commitments and the company’s ability to sustain operating cash flow.
