LIGHTPATH TECHNOLOGIES INC annual report, FY2021

LightPath Technologies, Inc. — FY2021 Form 10-K

Period clarification: The filing is for the fiscal year ended June 30, 2021, not calendar-year 2020. It also reports the quarter ended June 30, 2021.

Business context and reporting period

LightPath designs and manufactures optical components and assemblies, including precision-molded visible optics, infrared optics and specialty products. It operates manufacturing facilities in the U.S., China and Latvia. Management described a strategic shift toward providing custom optical-engineered solutions and longer-term customer supply programs. The audited consolidated financial statements received an unqualified opinion; management reported effective disclosure controls and internal control over financial reporting, without auditor attestation of internal controls.

At June 30, 2021, cash and cash equivalents were $6.8 million and working capital was approximately $12.3 million. More than half of cash was held by foreign subsidiaries. Loans payable totaled approximately $4.7 million, excluding finance and operating lease liabilities; the BankUnited term-loan balance was about $4.5 million. Total liabilities were $21.0 million, including $9.3 million of operating lease liabilities.

FY2021 revenue mix: infrared products $21.0 million, up 16%; PMO products $15.9 million, up 8%; specialty products $1.6 million, down 29%. Three customers represented approximately 38% of annual revenue, compared with 31% in FY2020.

Fourth-quarter results and changes versus comparable periods

For the quarter ended June 30, 2021, revenue was $8.3 million, down 9% from $9.1 million in the prior-year quarter. PMO revenue declined 24%, primarily with lower telecommunications demand; infrared revenue rose 4%, while specialty revenue was broadly flat. Quarterly net loss was $2.9 million versus net income of $0.7 million in the prior-year quarter; EBITDA was a loss of $2.0 million versus positive EBITDA of $1.7 million.

For the full year, revenue growth did not translate into improved profitability: gross margin fell by five percentage points, operating results moved from income to loss, and EBITDA declined. Management attributed margin pressure in part to below-target infrared margins and technical and yield challenges while scaling new infrared OEM programs. SG&A rose 34% to $12.0 million, and new product development spending increased to $2.2 million from $1.7 million.

Operating cash flow increased to $4.7 million, supported by improved receivables and inventory management. Average days sales outstanding improved to 57 from 66, and average days cost of sales in inventory improved to 135 from 142.

Outlook, commentary, risks and unusual items

  • Management anticipated future sales growth, particularly from engineered solutions, infrared products and BD6-based optics, and expected FY2022 capital expenditures at a similar level to FY2021. No quantified revenue or earnings guidance was provided.
  • Management expected infrared manufacturing yields and margins to improve as production issues are resolved. It expected telecommunications demand weakness to continue for at least two more quarters and short-term disruption to China domestic sales for one to two quarters after local management changes.
  • In April 2021, the company terminated several China subsidiary managers over alleged malfeasance, including suspected technology misappropriation, sales diversion, fraud, theft and embezzlement. The company reported $718,000 of investigation, legal and transition costs, accrued a further $210,000 potential liability, and accrued approximately $485,000 of disputed severance. Related litigation was ongoing; further legal and consulting costs were expected.
  • On September 9, 2021, after fiscal year-end, BankUnited waived a fixed-charge-coverage covenant default measured at June 30, 2021. The amendment terminated the $10 million guidance line, required lender approval for revolver draws, and temporarily adjusted coverage-ratio requirements. Management said the company was no longer in default following the waiver. This is a material subsequent event.
  • Key risks include the history of losses and accumulated deficit of approximately $200.2 million, customer and international-sales concentration, foreign-cash repatriation restrictions, supply and tariff exposure, COVID-19 uncertainty, and execution risk in the strategic shift. One customer was believed to have lost a significant bid that could affect sales in the next two quarters.
  • The company reported no material legal proceeding outside the China employee matters and no off-balance-sheet arrangements. It does not maintain product-liability insurance and reported limited business-interruption insurance.

Important facts for investors to verify

  • Review the September 2021 BankUnited letter agreement, covenant calculations, conditions on revolver access and upcoming debt maturities.
  • Track gross-margin recovery, infrared production yields, and whether the China management transition affects sales or customer relationships.
  • Assess customer concentration, including the potential effect of the reported lost bid, and monitor backlog, which was $21.3 million at June 30, 2021 versus $21.9 million a year earlier.
  • Evaluate the China-related allegations, litigation, accrued severance and potential liability, and whether future expenses remain within management’s expectations.
  • Consider the availability of cash held abroad, foreign-currency and tariff exposure, and the company’s ability to sustain investment and debt service through cash generation.
