LightPath Technologies, Inc. — FY2015 Form 10-K

Reporting period: Fiscal year ended June 30, 2015, compared with fiscal 2014. The filing also reports fourth-quarter results. The requested “2014 Q4” metadata does not match the annual reporting period shown in the filing.

Business context

LightPath designs and manufactures optical components and assemblies, including precision-molded glass optics, infrared optics, GRADIUM lenses and specialty products. Its products serve industrial, laser, telecommunications, medical, instrumentation and defense applications. During the year, manufacturing in China shifted from Shanghai to the newer Zhenjiang facility; Shanghai became primarily a sales and engineering site.

Adjusted EBITDA (non-GAAP)$317,000$296,000
  • Revenue rose 15%, principally from specialty products and infrared products. Precision-molded optics unit shipments fell 28%, while average selling price increased 38%, reflecting a shift in product mix.
  • FY2015 product revenue: LVPMO $6.50 million; HVPMO $2.54 million; infrared $1.19 million; specialty products $3.17 million; and NRE $272,000. Infrared revenue increased 172%; HVPMO revenue declined 22%.
  • SG&A increased to $5.13 million from $4.51 million; new product development expense was $1.11 million, down from $1.22 million. Gross margin declined by two percentage points as product mix and pricing changed.
  • The $464,000 expense from remeasurement of warrant liabilities materially increased the reported net loss. Excluding this noncash fair-value change, management reported adjusted net losses of $251,000 in FY2015 and $407,000 in FY2014.
  • At June 30, 2015, cash was $1.64 million, working capital $5.68 million, total assets $12.71 million and total liabilities $4.71 million. Accumulated deficit was $205.43 million.
  • Debt included $51,585 outstanding on an accounts-receivable-based line, with a $1 million maximum subject to eligible receivables and lender discretion. Capital lease obligations totaled $476,714. The line was due December 23, 2015.
  • Cash flow from financing was $963,000, including $1.12 million net proceeds from a private placement of 930,790 shares to Pudong Investment. Pudong held 14.9% following the transaction.
  • About $822,000 of year-end cash was held by Chinese subsidiaries. The company stated that repatriation is subject to a retained-earnings threshold not yet met.

Outlook, commentary and risks

  • Management expected FY2016 revenue growth primarily from precision-molded optics, specialty products and infrared products. It cited strong bookings and a 12-month backlog of $6.49 million at June 30, 2015, up 52% year over year. This is management’s outlook, not quantified revenue guidance.
  • Management projected FY2016 SG&A of $5.54 million and new product development spending of approximately $1.15 million. Planned development spending was approximately $1.2 million; capital expenditures were expected to increase, but no total was specified.
  • The February 2015 organizational changes and technical-sales approach were fully implemented. Management estimated annual operating-expense savings of 5%–10%, or $200,000–$375,000, and said savings began in FY2015’s fourth quarter.
  • Management said existing resources were adequate for its FY2016 plan, but warned that failure to achieve sales growth, cost reductions or positive cash flow could require additional capital. If financing were unavailable on reasonable terms, strategic alternatives could be considered.
  • Key risks include customer concentration (the filing reports approximately 27%–28% of annual sales from three customers), weakness in China’s industrial-tool market, competition, execution of the Zhenjiang production transition, dependence on growth and margin improvement, and limited funding capacity for production expansion. Approximately 54% of FY2015 revenue came from outside the United States.
  • A customer technology-license agreement provided for $200,000 in fees and related assembly purchases. Approximately $124,000 of revenue was recognized in FY2015; the remaining license fee was expected to be recognized in FY2016.
  • The company reported no material pending legal proceedings. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor did not provide an internal-control attestation.

Most important facts to verify

  • Whether backlog converts to revenue, especially amid continued weakness in China’s industrial-tool market and lower HVPMO sales.
  • Whether product mix, Zhenjiang efficiencies and in-house coating improve gross margin and cash generation.
  • Cash availability and funding needs, including the line’s December 2015 maturity and the usability of cash held in China.
  • The impact of warrant-liability remeasurement and potential dilution from outstanding warrants, options and equity awards.
  • The customer concentration figures and the difference between the narrative capital-expenditure comparison and the audited cash-flow statement for FY2014.
