At June 30, cash and cash equivalents were $28.2m, versus $28.9m at year-end 2022; total assets were $29.2m and working capital was approximately $28.2m. Cash included $19.9m in U.S. Treasury bills. Current liabilities were $0.59m. The company reported no debt or lines of credit. No revenue means operating margins are not meaningful.
For the first half, operating cash use was $3.01m, compared with $3.07m in 2022. Financing provided $2.31m, all from common-stock issuance, versus $7.59m in the prior-year period. Cash decreased $0.70m, compared with a $4.52m increase in the first half of 2022.
Material changes versus prior periods
- Q2 operating expenses rose 22% year over year; first-half expenses rose 13%. First-half R&D expense nearly doubled to $0.81m, principally reflecting higher national-laboratory project costs, consulting, and employee costs.
- First-half net loss increased 4% to $3.70m, despite higher interest income; Q2 net loss increased 11% to $1.67m. First-half loss per share improved to $0.32 from $0.34, partly reflecting a higher weighted-average share count.
- Common shares outstanding increased to 12.48m from 11.90m at December 31, 2022. The company sold approximately 0.5m shares through its ATM in the first half, raising $2.3m net, compared with $7.6m in the prior-year period.
Outlook, risks, and notable items
- Management said existing cash was sufficient for the next 12 months at the then-current operating level. It projected approximately $12.7m of expenditures over that period and expected R&D expenses to rise over the next 12–15 months. These are estimates, not formal financial guidance.
- Long-term outside R&D needs are projected to average about $10m annually over 10–15 years. Management expects government support will be needed; otherwise the company may seek additional equity or debt, with potential dilution or senior securities. No assurance of funding is provided.
- Development plans include continued INL work toward irradiation testing of fuel-material coupons, a CANDU feasibility study, a pilot-scale fabrication facility design study, and demonstrating extrusion of the uranium-zirconium alloy. Timing, cost, testing availability, commercialization, regulation, and market adoption remain uncertain.
- Outstanding INL project task statement obligations were approximately $3.3m. Work may be terminated with notice, but the company remains responsible for costs through termination, subject to stated task-order limits. The INL framework agreements have an initial seven-year duration; the relevant contract term was extended to May 2029.
- The 2023 GAIN voucher project was completed in the first quarter; no GAIN vouchers remained outstanding. The company recorded no contributed-services R&D income in Q2 2023, versus $83,501 in Q2 2022.
- After quarter-end, approximately 82,000 ATM shares were sold from July 1–31, 2023, for about $0.4m net proceeds.
- Disclosure controls were not effective at June 30, 2023 because of an unremediated material weakness in controls over recording accounts-payable invoices. Remediation was underway; management reported no related financial-statement restatements or changes to previously released results.
- The filing reported no material changes to previously disclosed risk factors and no known legal proceedings expected to have a material adverse effect.
Important facts for investors to verify
- Whether cash use, planned R&D spending, and the stated 12-month liquidity outlook remain consistent with actual results and updated project budgets.
- Progress, schedule, and cost of INL work and irradiation testing, as well as any government grants, strategic partners, or other committed funding.
- Remaining ATM capacity, subsequent share issuance, and resulting dilution; the filing stated $15.8m was available under the revised ATM supplement at June 30.
- Whether accounts-payable control remediation is completed and tested effectively.
- Potential costs and termination exposure under the approximately $3.3m of outstanding INL project task statements.
