LIGHTBRIDGE Corp quarterly report, Q2 FY2019

Lightbridge Corporation — Q2 2019 Form 10-Q

Reporting period: Three and six months ended June 30, 2019. Unaudited results; comparisons are to the corresponding 2018 periods unless noted.

Business context

Lightbridge is a pre-commercial nuclear-fuel technology developer focused on metallic fuel rods. Fuel development is conducted principally through Enfission, LLC, a 50/50 joint venture with Framatome. The company reported no revenue in either comparison period and discontinued its consulting business segment in 2018.

The company reported no debt or credit lines. With no revenue, conventional profit margins are not meaningful. Its $6.42 million six-month net loss included $3.26 million of equity-method losses from Enfission.

Changes versus prior period

  • Q2 net loss narrowed by $0.21 million to $3.31 million; operating expenses fell 11%, mainly due to lower general and administrative costs.
  • For the first half, net loss narrowed by $1.82 million to $6.42 million. General and administrative expenses declined 30%, while research and development expense was broadly flat.
  • Six-month operating cash use improved to $2.91 million from $3.22 million. Investing cash use declined to $3.67 million from $5.36 million, principally reflecting lower Enfission contributions.
  • The prior-year first-half results included $0.98 million of financing-cost write-offs and a $2.62 million deemed preferred-stock dividend. These items affect comparability; the deemed dividend is excluded from net loss but reduces net loss attributable to common stockholders.
  • Cash declined $3.66 million from year-end 2018. Common shares outstanding rose to 37.61 million from 32.86 million; the filing lists 47.58 million shares and common-stock equivalents, including options, warrants, convertible preferred shares, and accrued preferred dividends.

Outlook, risks, and unusual items

  • Management said available resources were sufficient for its current 12-month operating budget from the financial-statement issuance date, while acknowledging recurring losses and expected negative cash flows for the foreseeable future. It cited approximately $9.3 million of expected general and administrative and corporate R&D outlays over 12 months, plus $6 million to $8 million for fuel R&D and approximately $3 million of R&D equipment capital expenditures over 12 to 15 months.
  • Management expects continued investment in Enfission. Lightbridge had contributed approximately $9.1 million through June 30, compared with Framatome’s approximately $2.9 million. Enfission had about $1.5 million cash and recorded a $4.5 million first-half net loss; Lightbridge recognized approximately $3.3 million of its allocated loss.
  • Enfission’s 2019–2020 budget and future work scope were still under discussion between the joint-venture partners. Development could be delayed or scaled back until agreement is reached. Management’s near-term targets include surrogate-material full-length rod fabrication, test-reactor sample manufacturing arrangements, and a U.S. utility lead-test-rod agreement, anticipated over the next 12 to 18 months.
  • Funding may depend on additional equity or strategic investment, including sales under the 2019 at-the-market (ATM) program. The company sold about 4.7 million shares for approximately $3.1 million gross proceeds in the first half. Subsequent July ATM sales generated approximately $0.9 million net proceeds from about 1.4 million shares. Future financing availability and terms are not assured.
  • Key risks include technology development and regulatory approval, commercialization uncertainty, dependence on Framatome and Enfission, capital needs, nuclear-industry regulation and public acceptance, competition, and intellectual-property protection. Management reported no material changes to previously disclosed risk factors.
  • A former CFO’s OSHA complaint was dismissed in January 2018, but an appeal was filed in March 2018; the company says it will defend the appeal and expects no adverse finding. It reported no material legal proceedings.

Important facts for investors to verify

  • Whether Lightbridge and Framatome agree on Enfission’s budget, funding contributions, and development scope, and whether milestones proceed on the stated timetable.
  • Whether projected cash needs, including joint-venture funding and R&D equipment spending, remain within available resources and whether additional financing is required.
  • ATM issuance pace, proceeds, and resulting dilution, including the potential conversion and dividend-related shares from preferred stock and other equity awards.
  • Evidence of technical progress, regulatory engagement, test-material fabrication, and utility participation; the filing’s performance and safety benefits remain development-stage expectations.
  • Resolution of the OSHA appeal and the extent to which insurance covers related legal costs.
