General and administrative expense fell to $945,000 from $1.727 million, mainly due to lower payroll, consulting, legal and professional costs, and other cost reductions. The company recorded no income-tax provision and reported no interest expense.

At March 31, 2012, total assets were $9.805 million, including $5.298 million of marketable securities and $552,000 of restricted cash. Cash, cash equivalents, restricted cash, and marketable securities totaled approximately $7.816 million.

Material changes and business developments

  • Revenue declined as work under the ENEC and FANR consulting projects decreased. Substantially all consulting revenue and accounts receivable depended on these UAE customers; receivables rose to $925,000 from $277,000 at year-end 2011.
  • Gross margin dollars were nearly flat despite lower revenue, while the gross margin percentage improved. Reduced operating expenses drove the improvement in net loss.
  • Cash used in operations increased year over year, and cash and cash equivalents fell by $1.603 million during the quarter. The 2011 investing cash inflow included $1.950 million of marketable-security sales; Q1 2012 investing activities used $91,000.
  • Lightbridge reported fuel-development progress, including Rosatom approval to pursue collaboration and negotiations with a Russian research institute, continued irradiation-test planning, and new patent grants. No commercial fuel revenue was reported.

Outlook, risks and contingencies

  • Management expected approximately $5–6 million of research and development spending over the next 12–15 months, contingent on research agreements with Rosatom subsidiaries and a U.S. fabrication partner. The filing states the company would need to raise additional capital in 2012 to support its fuel-development plan. Without new agreements, management estimated existing cash could support operations at then-current levels until 2013.
  • The development roadmap anticipated full-scale metallic-fuel fabrication demonstration in 2013, commercial-reactor lead test assembly operation by the end of 2017, and final qualification for power uprates in 2021. These are plans dependent on partners, testing, regulatory approvals, and funding—not assured outcomes.
  • The planned ATR pressurized-loop test was unavailable for several years; Lightbridge shifted to a capsule experiment intended to generate data sooner. Management said it expected no adverse effect on the overall program, while noting the capsule test would use non-prototypic conditions.
  • Key risks include reliance on a small number of consulting customers, uncertain future consulting work, the need for additional financing, fuel-design testing and commercialization challenges, regulatory and licensing delays, dependence on Russian collaboration and facilities, export authorization, intellectual-property protection, and public or political opposition to nuclear power.
  • The filing reported no material subsequent events through issuance and no legal proceedings believed to have a material adverse effect. It disclosed employment-related commitments, operating leases, and other contingencies; no material off-balance-sheet arrangements were reported.

Important facts for investors to verify

  • Whether ENEC and FANR work plans and billings sustain consulting revenue, and whether the increased receivables are collected promptly.
  • Whether Lightbridge obtains the additional capital and executes the proposed R&D agreements; assess funding needs against the stated $5–6 million R&D plan and cash runway.
  • Whether Rosatom, U.S. fabrication, irradiation-testing, and utility partners are secured on workable terms, and whether the testing and licensing milestones remain achievable.
  • How marketable-security values, customer concentration, and ongoing operating cash use affect available liquidity.
