Liquidity, balance sheet and capital allocation

  • Cash and cash equivalents plus short-term investments were $1.286 billion at March 31, 2024, versus $1.108 billion at December 31, 2023. Working capital was $1.665 billion. The company stated these resources and operating cash flows should meet liquidity needs for the next 12 months and beyond.
  • Total assets were $2.579 billion and total liabilities were $465.1 million. The filing reports no borrowings or debt on the balance sheet.
  • Investing cash outflow was $266.0 million, primarily reflecting $365.9 million of investment purchases, partly offset by maturities and sales, and $33.3 million paid for the Axign acquisition. Financing cash outflow was $50.0 million, including $49.6 million of dividends and equivalents.
  • Quarterly dividends declared were $1.25 per share, up from $1.00. MPS repurchased 6,100 shares for $4.1 million; $632.2 million remained under its $640 million authorization.

Material changes and business drivers

  • Revenue growth was modest and attributed to higher average selling prices and product mix, partly offset by lower shipment volume. Enterprise Data revenue rose 217.5% to $149.7 million, primarily on power-management products for AI applications.
  • Revenue declined in Storage and Computing (11.4%), Automotive (17.3%), Communications (31.3%), Consumer (39.9%) and Industrial (36.3%). DC-to-DC product revenue was $416.0 million, down from $425.2 million; Lighting Control rose to $41.9 million from $25.9 million.
  • Gross margin fell mainly because of higher inventory write-downs and warranty expenses as a percentage of revenue. Cost of revenue also reflected product mix and higher warranty costs.
  • China and Taiwan together accounted for $363.5 million of revenue, approximately 79% of the total. Sales through distribution were 85% of product sales, and two distributors represented 54% of revenue (41% and 13%).

Outlook, risks and unusual items

  • No specific numerical revenue or earnings guidance is provided. Management described macroeconomic conditions as challenging and cited uncertain demand, inflation, interest rates, currency fluctuations and semiconductor cyclicality. It noted revenue has historically tended to be higher in the second half, but this can vary.
  • Customer orders may be canceled or rescheduled without significant penalties; typical supply-chain lead times are 16–26 weeks. Management cited product development, market expansion, customer diversification and manufacturing capacity as important to growth.
  • MPS acquired Axign B.V., a developer of class-D audio ICs, on January 3, 2024, for preliminary consideration of approximately $33.7 million. The purchase-price allocation remains preliminary; acquired assets include $8.3 million of developed technology, $1.6 million of in-process R&D and $21.1 million of goodwill.
  • Unconditional purchase commitments, net of prepayments, totaled $630.2 million; remaining prepayments under a four-year wafer supply agreement were $120.0 million. Inventory was $396.0 million, and the stock-rotation reserve increased to $24.7 million from $16.7 million at year-end.
  • Disclosure controls were determined ineffective because of an unremediated material weakness in controls over demand forecasts and excess/obsolete inventory valuation. Management said the weakness did not cause a misstatement in the 2023 audited statements and remediation is ongoing.
  • MPS reported no material pending legal proceedings and no material changes to its previously disclosed risk factors. Export controls had not materially affected operations to date; the company continues to monitor trade restrictions and geopolitical risks.

Important facts for investors to verify

  • Whether AI-related enterprise-data demand can offset weakness across other end markets, and whether customer and distributor concentration changes.
  • Whether margin pressure from product mix, inventory write-downs and warranty expenses persists, and how inventory levels and reserves develop.
  • Completion of Axign’s purchase-price allocation and progress integrating the acquired technology and business.
  • Execution of the inventory-control remediation plan and when management can conclude the material weakness has been remediated.
  • Timing and terms of the $630.2 million of purchase commitments, wafer-supply arrangements, future dividends and any additional share repurchases.
