Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter report; the filing does not provide a clear set of Q4-only results. Novanta supplies precision technology components and subsystems to medical and advanced industrial OEMs.

Cash and cash equivalents were $105.1 million at year-end, versus $100.1 million a year earlier. The company had $416.6 million of unused revolving-credit capacity. Principal debt outstanding was $358.1 million at year-end; balance-sheet debt, net of unamortized issuance costs, was $354.4 million. The weighted-average interest rate on debt during 2023 was 6.21%, compared with 3.24% in 2022. The company reported covenant compliance: leverage ratio 1.70 versus a 3.50 maximum, and fixed-charge coverage ratio 4.67 versus a 1.50 minimum.
Current assets were $415.3 million and current liabilities were $139.2 million. The company stated that operating cash flows should cover operating and capital needs for at least the next 12 months. It expects 2024 capital expenditures of approximately $20–25 million. No cash dividend is anticipated in the foreseeable future.
Segments and changes versus prior year
- Precision Medicine and Manufacturing: Revenue $283.0 million, up 3.0%; gross margin 49.1%, versus 47.0%. Management cited medical-market demand, factory productivity, favorable mix, and a $5.0 million business-interruption insurance recovery among the factors supporting results.
- Medical Solutions: Revenue $325.2 million, up 17.0%; gross margin 41.7%, versus 39.1%. Growth reflected minimally invasive surgery and detection and analysis products, including $8.1 million of revenue from the 2022 MPH acquisition.
- Robotics and Automation: Revenue $273.5 million, down 11.3%; gross margin 47.9%, versus 47.4%. The decline was driven primarily by weaker advanced industrial demand, particularly microelectronics; operating income fell to $48.4 million from $60.3 million.
Medical sales represented approximately 54% of revenue, up from 49% in 2022; advanced industrial sales were 46%. Revenue growth was partly offset by higher interest expense: net interest expense rose to $25.8 million from $15.6 million. Operating expenses increased 5.1%, including restructuring, acquisition and related costs of $12.8 million versus $4.4 million. Net income declined despite higher operating income, as financing costs increased.
Backlog decreased to approximately $473.1 million at December 31, 2023, from $611.6 million a year earlier. Management cautions that backlog is not a complete indicator of future revenue because customers may reschedule orders.
Outlook, risks and unusual items
- Acquisition after year-end: On January 2, 2024, Novanta completed its $192.2 million cash acquisition of Motion Solutions, a precision-motion and motion-control provider assigned to Medical Solutions. The purchase was funded with revolving-credit borrowings; purchase accounting was still being completed when the filing was prepared.
- Costs and demand: The company reported continued inflation in materials, components and labor, and expects inflationary conditions to continue in 2024. Price increases and productivity actions may not fully offset cost pressures. Weaker microelectronics demand affected Robotics and Automation.
- Restructuring and insurance: The 2022 and 2020 restructuring programs were completed in Q4 2023. FY 2023 restructuring charges totaled $11.8 million. A $5.0 million insurance recovery related to a 2022 supplier fire reduced cost of revenue; the claim was settled in September 2023.
- Capital and interest-rate exposure: Debt is variable-rate, and management estimated a 100-basis-point rate increase would raise annual pretax interest expense by approximately $3.6 million at year-end debt levels. A further revolving-credit draw funded the Motion Solutions acquisition.
- Other material risks: OEM customer order timing and concentration, economic and industrial cyclicality, single- or limited-source suppliers, production and logistics disruptions, acquisition integration, foreign exchange, cybersecurity, and extensive medical-device and privacy regulation. One medical OEM represented approximately 10% of 2023 consolidated revenue; one customer also represented approximately 10% of year-end receivables.
- Tax: The effective tax rate was 13.0%, compared with 15.0% in 2022. Novanta expects to meet the OECD Pillar Two revenue threshold in 2024 but said the potential tax impact was not reasonably estimable.
The filing provides no numerical revenue or earnings guidance for 2024. Management’s stated outlook includes anticipated liquidity sufficiency for at least 12 months and planned 2024 capital spending of $20–25 million.
Investor facts to verify
- Whether Medical Solutions growth and margin improvement continue, and how the Motion Solutions acquisition performs and affects leverage.
- Whether Robotics and Automation demand, particularly in microelectronics, stabilizes and backlog converts to shipments.
- Whether cost inflation, pricing, restructuring, and factory efficiencies support margins after the $5.0 million insurance recovery.
- Debt, borrowing capacity, covenant headroom, and interest expense after acquisition-related borrowing and under changing rates.
- Customer and supplier concentration, including the large OEM exposure and reliance on limited- or single-source components.
- Potential tax effects of Pillar Two and the evolving medical-device certification requirements in the EU and U.K.
PricewaterhouseCoopers LLP issued an unqualified audit opinion on the financial statements and concluded internal control over financial reporting was effective as of December 31, 2023.
