Business context and reporting period
NetScout Systems, Inc. filed this Form 10-K for the fiscal year ended March 31, 2022 (FY2022), not a standalone 2021 fourth-quarter report. NetScout sells service assurance, network performance and cybersecurity solutions to enterprises, service providers and government customers. It reported one operating segment.
Financial performance and liquidity
| Metric | FY2022 | FY2021 |
|---|---|---|
| Revenue | $855.6 million | $831.3 million |
| Gross profit / gross margin | $641.4 million / 75% | $609.2 million / 73% |
| Operating income | $48.6 million | $37.1 million |
| Net income | $35.9 million | $19.4 million |
| Diluted EPS | $0.48 | $0.26 |
| Cash from operations | $296.0 million | $213.9 million |
Revenue rose 3%. Product revenue increased 9% to $410.1 million, mainly on enterprise network performance management demand; service revenue declined 2% to $445.5 million, primarily due to service-provider consolidation and discontinued product lines. Product gross margin improved to 78% from 75%; service gross margin was 72% in both years. Operating expenses increased 4% to $592.8 million, with higher sales and marketing and general and administrative costs partly offset by lower research and development expense.
Cash, cash equivalents and marketable securities totaled $703.2 million at year-end, up from $476.5 million. Investing activities used $68.4 million, including purchases of marketable securities and $10.4 million of capital expenditures; financing activities used $54.2 million, including $35.7 million of share repurchases and $15.7 million of tax withholding on equity awards. Accounts-receivable days sales outstanding improved to 64 days from 75.
Long-term debt was $350 million at March 31, 2022. The amended senior secured revolving facility provides up to $800 million and, based on covenant levels, $450 million of additional availability at year-end. The company said it was covenant-compliant and expected available cash, operating cash flow and borrowing capacity to cover obligations for at least 12 months. The filing contains an inconsistent debt disclosure: one risk-factor passage says $200 million was outstanding “as of the date of this report,” while the audited balance sheet and debt note report $350 million at March 31, 2022.
Material changes, outlook and notable items
- Net income increased $16.5 million year over year. Management cited higher revenue and lower amortization, foreign-exchange expense and interest expense; higher commissions, contractor fees, marketing, legal costs, travel and credit-loss provision partly offset the improvement.
- Backlog rose to $92.8 million from $27.9 million. The filing cautions that backlog is not generally indicative of future sales. Much of the increase related to late-quarter orders and radio-frequency propagation modeling projects. A project had $19.9 million recorded in each of deferred revenue and accounts receivable; most project revenue was expected in FY2023.
- Deferred revenue was $463.7 million at year-end; $330.6 million, or 71%, was expected to be recognized over the next 12 months. This includes contracted performance obligations and is not a revenue forecast.
- Management described technology and project spending as having resumed during FY2022 after pandemic-related elongated purchasing cycles in FY2021. It expects to invest in product development and infrastructure while managing costs, but the filing provides no specific FY2023 revenue or earnings guidance.
- In response to Russia’s invasion of Ukraine, NetScout stopped sales, support on existing contracts and professional services in Russia. Management said the actions had not materially affected FY2022 results and would continue to monitor impacts. COVID-19, supply-chain constraints, macroeconomic and geopolitical conditions, foreign exchange, competition, cybersecurity, and customer spending remain risks.
- Packet Intelligence patent litigation remained unresolved. The amended judgment included $2.25 million of post-suit damages, $1.1 million of enhanced damages, interest and running royalties through the patents’ expiration in June 2022. Although the PTAB invalidated the asserted claims in separate proceedings, the district court denied NetScout’s request to dismiss. A May 2022 subsequent ruling led NetScout to accrue an additional $1.1 million after its May 5 earnings release.
- After year-end, the board authorized a new 25-million-share repurchase program and a $150 million accelerated repurchase. NetScout announced the accelerated repurchase and repaid $150 million of facility borrowings on May 9, 2022. No cash dividends were declared in FY2022 or FY2021.
Most important facts for investors to verify
- Resolve the filing’s conflicting $200 million versus $350 million debt disclosure, and confirm subsequent borrowings, repayments and remaining facility availability.
- Track conversion of the unusually high backlog and the $19.9 million radio-frequency project balances into billable milestones, cash collections and recognized revenue.
- Confirm the final Packet Intelligence liability, including the additional accrual, interest, royalties and any appeal outcome.
- Assess whether product growth can offset continuing service-revenue pressure and whether expense growth remains aligned with revenue.
- Review actual FY2023 results against management’s qualitative outlook and monitor the effects of supply constraints, customer spending, COVID-19 and geopolitical developments.
