Navitas Semiconductor Corporation — FY2022 Form 10-K
Business context and reporting period. Navitas designs and markets GaN power ICs, SiC devices and related power semiconductors using a fabless manufacturing model. This 10-K covers the fiscal year ended December 31, 2022; it does not provide standalone fourth-quarter results. The year included the acquisitions of GeneSiC (August 2022) and VDDTech (June 2022), broadening the company’s SiC and digital-isolator offerings.

FY2022 net income included $173.5 million of noncash gains from changes in the fair value of warrant and earnout liabilities, plus a $22.8 million income tax benefit. These items substantially affected reported earnings; the company still recorded a $123.6 million operating loss. Revenue grew 60%, while cost of revenue rose 99%, including $2.8 million of inventory charges and higher wafer prices. Operating expenses were $135.6 million, including $50.3 million of R&D and $78.4 million of selling, general and administrative expense. Stock-based compensation totaled $63.3 million.
Year-end current assets were $142.1 million and current liabilities were $20.4 million. Inventory increased to $19.1 million from $12.0 million. Cash declined by $157.9 million during the year, primarily reflecting acquisitions and operating cash use. Investing cash flow was $(107.6) million, including $96.4 million for acquisitions. Financing cash flow was $(5.8) million, including $6.9 million of debt repayment. Stockholders’ equity was $384.8 million.
Material changes versus FY2021
- Revenue increased by $14.2 million, driven by GeneSiC and higher home-appliance sales, partly offset by weakness in China’s mobile market.
- Revenue mix shifted geographically: China accounted for 38% of revenue versus 74% in FY2021; Europe accounted for 32% and the United States 24% in FY2022.
- Gross margin fell to 31.5% from 45.0%, while the operating loss widened as the company expanded product development and operations and absorbed acquisition-related costs and amortization.
- The GeneSiC acquisition added substantial goodwill and intangible assets; year-end goodwill was $161.5 million and net intangible assets were $105.6 million.
- Warrants were redeemed or exercised during 2022, leaving no warrants outstanding at year-end. The company also repaid its term loan.
Outlook, commentary and risks
Management expects R&D and selling, general and administrative expenses to increase as it adds employees, develops products and expands into data center, solar, industrial and EV markets. It expects current cash to fund operations, working capital and capital expenditures for the foreseeable future, while noting that additional financing may be needed and is not assured. The filing gives no specific 2023 revenue or earnings guidance.
- Acquisition and growth execution: Integration of GeneSiC and realization of anticipated benefits remain uncertain; the acquisition’s purchase-price allocation was preliminary. GeneSiC’s contingent earnout was assessed as remote at year-end, with a $0.6 million liability recorded.
- Customer and market concentration: Five distributors each represented at least 10% of FY2022 revenue; together they represented 75%. Customers may cancel or reschedule orders, and design wins can take a year or longer to generate meaningful sales.
- Supply-chain exposure: The company relies on a single wafer foundry for GaN and a separate single foundry for SiC, alongside limited suppliers. Many manufacturing and assembly activities are in Asia, including Taiwan and the Philippines.
- China and geopolitical risks: China remained the largest end-customer market. Trade restrictions, regulation, economic conditions and regional tensions could affect demand and supply.
- Financial reporting controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at December 31, 2022 because of material weaknesses involving technical accounting expertise and segregation of duties. Remediation is ongoing; the independent auditor did not attest to control effectiveness.
- Other notable risks: Semiconductor cyclicality, pricing and yield pressure, product reliability and warranty exposure, competition, tax uncertainty, and potential dilution from equity compensation and financing. No pending legal proceeding was reported as expected to have a material financial impact.
Important facts for investors to verify
- How much of revenue growth and future performance is attributable to GeneSiC, and whether the acquisition’s integration and expected synergies are progressing.
- Whether gross margins recover despite higher wafer costs, inventory charges, product mix and competitive pricing.
- Whether operating cash burn and spending growth remain consistent with management’s liquidity assessment.
- Whether customer and distributor concentration, China exposure and single-foundry dependence are declining or remain material.
- Progress in remediating internal-control material weaknesses and whether the controls are tested and operating effectively.
- The final GeneSiC purchase-price allocation and the earnout liabilities: the balance sheet reports $13.1 million in earnout liability, while the notes separately describe the legacy earnout at approximately $12.5 million and GeneSiC’s $0.6 million earnout.
