Transaction and processing fees fell to $2.29 million from $6.35 million, which management attributed primarily to loss of the CBD merchant portfolio. Digital product revenue contributed $867,305, compared with none reported in Q1 2023. Bitcoin mining revenue was $211,617, up from $166,749.

Processing and servicing costs declined 45.8% to $2.75 million. Amortization expense fell 78.8% to $190,961, partly because the CBD portfolio was written off at year-end 2023. Salaries and wages rose 23.5% to $1.02 million; professional fees rose 75.6% to $648,443, including litigation and DMINT spin-off costs. Operating expenses totaled $6.38 million. The filing does not present a separate gross profit or gross margin figure.

Other income was $486,947, including a $274,731 unrealized gain on an equity investment and a $225,229 realized gain on bitcoin sales, partly offset by $13,013 of interest expense. These gains helped reduce the reported net loss despite the larger operating loss. The company reported a $29,022 loss attributable to the noncontrolling interest.

At March 31, current assets were $1.31 million and current liabilities were $7.15 million; management reported negative working capital of $5.83 million. Cash was $3,319, alongside $207,274 of net receivables, $548,393 of equity securities, and $55,676 of bitcoin recorded in other current assets. Current obligations included $3.71 million of accounts payable, a $2.00 million merchant-portfolio installment obligation, $449,917 of preferred dividends payable, and $371,196 of current note payable. The note is secured by bitcoin mining equipment and matures March 1, 2025.

Outlook, risks and notable items

  • Liquidity and capital: The company used $424,700 of operating cash in Q1. It had an ATM program permitting up to $15 million of sales, with a 3% sales commission; a prospectus supplement registered up to $3.9 million. Q1 net proceeds were $9,775. Management believes available resources, including expected ATM proceeds, can fund planned expenditures for 12 months, but says additional resources may be required and provides no assurance of raising them on acceptable terms.
  • Bitcoin mining spin-off: Management expected to spin off DMINT within the next 12 months, which it expects would remove the segment’s operating capital requirements from OLB. DMINT may seek financing after the spin-off. This remains a forward-looking plan.
  • Contingencies: Litigation with FFS concerns the acquired merchant portfolio, including competing claims over its purchase price; OLB also has a claim against Clear Fork Bank, which filed a counterclaim. Matters were in discovery, with trial dates not finalized. A separate DMINT contractor dispute involves a stated potential liability of approximately $444,000; OLB recorded just over $315,000 in accounts payable related to it, and settlement discussions continued.
  • Controls: Management concluded disclosure controls and procedures were not effective at quarter-end. It reported no material changes in internal control over financial reporting during the quarter.
  • Other notable items: OLB completed a 1-for-10 reverse stock split effective April 26, 2024; share data in the filing is retroactively adjusted. On May 20, 2024, it acquired the remaining 19.99% of Cuentas SDI for $215,500, bringing ownership to 100%. Series A preferred stock carries a 12% annual dividend; $449,917 was payable at March 31.

The filing provides no formal revenue, earnings, or cash-flow guidance. Management cautions that forward-looking statements are uncertain and actual results may differ.

Most important facts for investors to verify

  • Whether OLB can address its very low cash balance, negative working capital, and substantial short-term obligations, including the $2.00 million installment obligation.
  • Whether ATM sales can provide meaningful liquidity, and the amount of remaining registered capacity and resulting dilution.
  • Whether the sharp decline in payment-processing revenue persists and whether digital product revenue and Cuentas SDI can scale profitably.
  • Progress and financing arrangements for the proposed DMINT spin-off, and the outcome and potential cost of the FFS/bank and contractor disputes.
  • Remediation of ineffective disclosure controls and the valuation and liquidity of the equity investment that generated a material unrealized gain.
