OraSure Technologies, Inc. — Q2 2022 Form 10-Q
Reporting period: Three and six months ended June 30, 2022. Amounts below are in U.S. dollars; financial statement figures are converted from thousands to millions where shown.
Business context and reporting period
OraSure operates Diagnostics and Molecular Solutions businesses, selling rapid diagnostic tests, specimen-collection products and related laboratory services. Q2 revenue growth was driven by InteliSwab COVID-19 rapid tests, while Molecular Solutions declined as COVID-19 PCR collection-kit demand fell. The company appointed Carrie Eglinton Manner as CEO effective June 4, 2022, and ended its review of strategic alternatives.

Material changes versus prior periods
- Revenue rose 39% in Q2 and 27% for the first half, primarily from InteliSwab, which contributed $43.1m in Q2 and $65.3m in the first half. The product began selling in August 2021.
- First-half Molecular Solutions revenue fell 40% to $49.2m, including a 77% decline in COVID-19 collection-kit sales and a 48% decline in laboratory services. Q2 Molecular Solutions revenue declined 48%.
- Gross margins fell substantially, reflecting product mix, excess-inventory reserves, manufacturing inefficiencies and lower labor-cost absorption; the Gates Foundation subsidy also expired in June 2021.
- The company recorded $10.5m of impairment charges in Q2: $6.9m for idle manufacturing equipment and $3.6m to fully impair Diagnostics goodwill.
- First-half operating cash use increased to $45.5m, including working-capital outflows from higher inventory and receivables. Inventory rose to $71.3m from $53.1m at year-end.
Outlook, risks and unusual items
- Management said available cash, cash equivalents and investments were expected to fund current operating and capital needs for the next 12 months. The filing provides no quantified revenue or earnings guidance.
- The $109m U.S. government manufacturing-capacity contract is milestone-funded through March 2024; 15% is contingent on final equipment validation, expected in late 2023 or early 2024. Timing of reimbursement is a stated cash-flow uncertainty.
- Customer concentration is significant: one non-commercial customer represented 56% of Q2 and 39% of first-half revenue, and 48% of accounts receivable at June 30. The company expects this customer to remain a significant revenue contributor.
- InteliSwab demand, manufacturing scale-up and product quality remain important uncertainties. Management cited pandemic-related demand volatility, manufacturing inefficiencies and excess inventory; sole-source suppliers also pose potential supply and delivery risks.
- $74.7m, or 78%, of cash, cash equivalents and available-for-sale securities was held by the Canadian subsidiary. A $65m repatriation in Q1 incurred approximately $1.7m of Canadian withholding tax; further repatriation could have adverse tax consequences.
- Currency translation is a risk: the filing estimates that a 10% unfavorable move in the Canadian dollar and euro against the U.S. dollar would have reduced first-half comprehensive income by approximately $13.1m.
- OraSure is litigating patent claims with Spectrum Solutions; the court denied a motion to dismiss Spectrum’s counterclaims, and the trial schedule was vacated pending new dates. Management did not expect ordinary-course litigation to materially affect results, but the matter remains ongoing.
Important facts for investors to verify
- Whether InteliSwab demand, U.S. government orders and milestone reimbursements support the expanded manufacturing capacity and working-capital investment.
- Whether gross margins and manufacturing yields recover, and whether inventory reserves or additional impairments are required.
- Whether revenue concentration, customer receivable collections and Molecular Solutions’ post-pandemic demand create further volatility.
- How cash burn, capital spending and the concentration of liquidity in Canada affect the stated 12-month funding outlook.
- Updates on CEO transition costs, the Spectrum litigation and the timing and outcome of final government-contract equipment validation.
